General Counsel – Chief Legal Officer

This is a fully remote position, open to applicants in United States.

📋 Description

• Act as the primary legal advisor to the President and CEO, delivering practical, business-focused legal counsel to CIEE's executive leadership and stakeholders.

• Provide guidance on legal issues impacting both domestic and international operations, covering areas such as nonprofit governance, employment law, regulatory compliance, contracts, intellectual property, data privacy, international engagement, and risk management.

• Offer legal support for strategic initiatives, including partnerships, acquisitions, divestitures, investments, and new business ventures.

• Oversee litigation, claims management, investigations, and matters related to dispute resolution.

• Manage the budget for the legal department and cultivate relationships with external legal advisors to ensure efficient delivery of legal services.

• Stay informed on and anticipate emerging legal and regulatory changes that could affect higher education, international education, nonprofit entities, international exchange programs, data privacy, and global operations.

• Serve as Corporate Secretary to the Board of Directors, assisting with board activities including meeting organization, management of governance records and structures, policies, official corporate actions, and committee responsibilities.

• Advise leadership and the board on corporate governance best practices, nonprofit compliance, conflict of interest management, related-party transactions, corporate policies, and nonprofit fiduciary duties.

• Ensure that governance practices align with the organization's needs and adapt to evolving nonprofit laws and standards.

• Provide legal oversight and advice regarding CIEE's international centers, foreign entities, partnerships, and related activities.

• Navigate intricate international legal frameworks, including regulations, immigration, tax, data privacy, employment law, and contract issues.

• Monitor and reduce cross-border risks while fostering program growth and innovation.

• Lead and manage enterprise compliance initiatives and support strategies for enterprise risk management.

• Foster ethical business practices and a culture of accountability across the organization.

• Counsel on cybersecurity, data privacy, artificial intelligence, technology governance, and associated regulatory changes.

⛳️ Requirements

• Juris Doctor (JD) from an accredited law school; must hold active membership in at least one U.S. state bar in good standing.

• At least 15 years of progressive legal experience, including senior leadership roles with substantial experience in advising boards and executive teams.

• Proven expertise in nonprofit governance and compliance, corporate law, risk management, data privacy, cybersecurity, and emerging regulatory challenges.

• Extensive experience with international operations, programs, or global regulatory landscapes.

• Capability to maintain a valid passport and clear background check related to international visa requirements.
