This is a fully remote position, open to applicants in Canada.
β’ Develop and take charge of Maneva's commercial legal strategy, contracting standards, and risk management framework.
β’ Negotiate and finalize all significant customer agreements, partnership contracts, vendor agreements, and SaaS terms.
β’ Create and uphold contract templates, Statements of Work (SOWs), Data Processing Agreements (DPAs), security agreements, and standard terms that offer commercial flexibility while minimizing legal risks.
β’ Establish and maintain internal awareness of critical commercial agreements, identified risk factors, and deal progression; provide strategic advice to leadership regarding deal structure and negotiation tactics.
β’ Collaborate closely with sales, product, and operations teams to ensure that contracts align with business goals while managing legal risks.
β’ Design and implement AI-powered automations throughout legal workflows.
β’ Utilize AI tools to enhance efficiency in contract drafting, legal analysis, due diligence, and compliance monitoring.
β’ Create and maintain AI-assisted legal templates, processes, and knowledge bases that enable scaling of legal work without a proportional increase in headcount.
β’ Identify legal issues, manage relationships with external counsel, and outsource specialized work as necessary for various legal matters.
β’ Experience: 5β8 years of experience as a lawyer in a law firm and/or in-house within a B2B SaaS or similar high-growth technology company.
β’ Commercial Expertise: Significant experience in negotiating and drafting commercial contracts; strong negotiation abilities and business judgment; capacity to evaluate legal risks within a commercial context.
β’ Regulatory & Operations Knowledge: Ability to navigate various areas of law (employment, corporate governance, export control, data privacy, regulatory compliance). Not required to be an expert in every field, but should be comfortable developing expertise and knowing when to consult specialists.
β’ Business Intuition: Strong business insight and the capability to provide commercial advice, not solely legal. Understands venture funding dynamics, capitalization tables, and how legal choices affect fundraising and operations.
β’ Communication & Relationship Skills: Exceptional written and verbal communication skills. Capable of articulating legal issues clearly to non-lawyers and advising from technical, commercial, and leadership viewpoints.
β’ Startup Mindset: Flourishes in fast-paced settings with uncertain challenges. Takes full ownership of issues and constructs legal infrastructure from the ground up.
β’ Tools & Fluency: Proficient with contracts, spreadsheets, and common SaaS legal/financial tools. Familiarity with equity management software (such as Carta, 409A valuations) is advantageous.
β’ Language: Bilingual proficiency in French and English is highly preferred (reflects the company and customer demographic).
β’ Fully remote, based in North America.
