This is a fully remote position, open to applicants in United States.
• Provide support to executive management and project sponsors for a portfolio of ten projects within the United States.
• Lead efforts in financial management, financial modeling, and the execution of strategic transactions.
• Create valuation frameworks and interconnected financial models.
• Implement internal controls.
• Coordinate independent audits that are PCAOB-registered.
• Ensure financial preparedness for potential direct listings on Nasdaq.
• Supervise external accounting, tax, and audit service providers.
• Conduct outreach and negotiate commercial agreements with intellectual property owners from universities, research institutions, and enterprises.
• Secure technology licenses, assignments, options, and joint ventures.
• Develop DCF, comparable transactions, and risk-adjusted NPV valuation models that account for development risks, dilution, and sensitivity scenarios.
• Create linked forecasts for income statements, balance sheets, and cash flows that integrate R&D, clinical, and engineering milestones.
• Maintain a 13-week cash flow tracking system.
• Manage entity ledgers, bookkeepers, reconciliations, intercompany balances, payment controls, and US GAAP reporting to meet a 10-day monthly closing target.
• Appoint and oversee tax preparers for federal, state, franchise, payroll, contractor, and foreign ownership filings.
• Source PCAOB-registered audit firms, uphold auditor independence, prepare audit schedules, and resolve accounting inquiries.
• Oversee financial arrangements for US public listings in collaboration with SEC counsel and listing advisors.
• Maintain capitalization tables, transaction accounting, and SEC filing calendars.
• Accept separately agreed-upon director, officer, or manager roles for portfolio entities.
• Support governance, budgeting, and communications with stakeholders.
• Certified Public Accountant (CPA) qualification (or an equivalent recognized qualification) / CA (SA).
• A proven history of compliance with US GAAP, SEC reporting, and advanced financial modeling using Microsoft Excel.
• Demonstrated experience in constructing valuation and forecasting models.
• Experience leading financial preparations for completed public listings/registrations in the US.
• Proven experience managing issuer audits.
• Extensive experience in evaluating and negotiating IP licenses, acquisitions, or similar transactions with universities, research institutions, or commercial entities.
• Ability to independently manage external professional service providers and provide executive recommendations.
• Capability to work remotely with a schedule that aligns with regular business hours in the United States.
• Direct experience with US public direct listings is desirable.
• Financial management experience in early-stage biotechnology or energy sectors is desirable.
• Practical experience serving as a director, officer, or senior manager across multiple corporate entities is desirable.
• Proficient in Microsoft Excel.
• Flexible part-time commitment of 10–20 hours per week.
