EVP, Chief Legal Officer

This is a fully remote position, open to applicants in United States.

📋 Description

• Take charge of the entire contract lifecycle management for new customer agreements, renewals, and upgrade or expansion deals.

• Negotiate and finalize commercial agreements, including Master Service Agreements (MSAs), Statements of Work (SOWs), SaaS/licensing agreements, data processing agreements, and vendor contracts.

• Collaborate with Sales, Product, and Customer Success teams to create deal terms that balance commercial speed with risk management.

• Develop and maintain scalable contracting playbooks, templates, and approval workflows as the organization expands.

• Manage contract risk within the existing customer base, encompassing amendments, upgrades, and renegotiations.

• Select, engage, and oversee relationships with external counsel for litigation, regulatory, intellectual property, and specialized transactional issues.

• Manage the outside counsel budget, scope, and billing to ensure cost-effective and high-quality legal support.

• Prepare board materials, legal updates, and risk disclosures for regular Board meetings.

• Attend Board meetings and act as the attorney representing Sagent's interests while providing direct legal counsel to the Board.

• Advise the Board and executive team on corporate governance, fiduciary responsibilities, and significant legal or regulatory risks.

• Serve as a trusted legal and strategic contact for key stakeholders.

• Lead and expand the legal, compliance, and risk management functions as the company grows.

• Oversee labor and employment issues, including disputes, claims, and compliance with employment laws.

• Develop litigation strategies and manage case outcomes in the best interests of the company.

⛳️ Requirements

• Juris Doctor (J.D.) and an active bar membership in good standing.

• Over 12 years of legal experience, including substantial in-house experience; prior Chief Legal Officer (CLO) or General Counsel (GC) experience is highly preferred.

• Proven experience in negotiating commercial/SaaS contracts on a large scale.

• Direct experience in presenting to and advising a Board of Directors.

• Experience working with or reporting to private equity-backed or investor-governed companies.

• Strong oversight experience in litigation, particularly in labor and employment matters.

• Exceptional judgment, communication skills, and executive presence.

• Experience in fintech, lending, mortgage servicing, or other regulated industries is a plus.
