This is a fully remote position, open to applicants in New York.

📋 Description

• Lead the negotiation and drafting of agreements for PBM services, amendments, and statements of work from the bidding phase and initial drafting through to execution.

• Structure and negotiate financial and clinical terms, encompassing financial guarantees, pricing conditions, rights reservations, and performance guarantees.

• Oversee the complete contract lifecycle, which includes managing redlines, reviewing tracked changes, updating exhibits, handling post-execution addenda, and conducting renewal negotiations.

• Collaborate with legal, finance, underwriting, client success, clinical, and operations teams to ensure contract terms align with regulatory obligations, financial models, and operational capabilities.

• Act as a primary contact for client-side legal and procurement teams throughout the negotiation process.

• Review and address RFP and RFI requirements related to PBM contracting.

• Maintain and enhance contract templates, playbooks, and libraries of standard clauses.

• Monitor contract obligations and deadlines, identifying and escalating risk areas to leadership.


⛳️ Requirements

• A minimum of 7 years of experience in contracting, commercial law, or contract management roles.

• Direct experience in negotiating PBM, health plan, or other healthcare service agreements.

• Familiarity with a Contract Lifecycle Management tool.

• Proven experience in managing document workflows that involve tracked changes, redlines, and multi-party reviews.

• Strong understanding of PBM economics and contract frameworks, including financial guarantees, pricing methodologies, performance guarantees, and audit rights.

• Exceptional drafting and negotiation capabilities.

• Ability to translate intricate commercial and regulatory concepts into clear and concise contract language.

• Proficient in communicating with client-side stakeholders, including consultants.

• Capability to manage multiple simultaneous negotiations under tight deadlines.

• Strong abilities in cross-functional collaboration.

• Sound judgment in recognizing and escalating legal, financial, and regulatory risks.

• A Bachelor’s degree is required.

• An advanced degree such as a JD or MBA is a plus.

• Familiarity with ERISA, state pharmacy benefit regulations, or public sector procurement and contracting requirements is an added advantage.

• Experience in creating or maintaining contract playbooks, clause libraries, or negotiation training materials is a plus.

• Experience utilizing Artificial Intelligence tools for drafting and negotiating contracts is a plus.
