This is a fully remote position, open to applicants in Illinois.
• Prepare, assess, and negotiate intricate commercial contracts, such as MSAs, SaaS subscription agreements, SOWs, and various strategic partnership agreements.
• Work collaboratively with our GTM (Sales, Marketing, and Commercial) teams to support initiatives while safeguarding the company's legal and financial interests.
• Offer legal guidance and assessments on transportation management services engagements and supply chain contracts.
• Aid in contract strategy and negotiations for significant, multi-year client projects.
• Partner with our security team to ensure regulatory compliance in areas including transportation, logistics, data privacy, cybersecurity, and cross-border data transfers.
• Contribute to corporate initiatives encompassing vendor contracting, technology acquisition, M&A due diligence, and internal governance as required.
• Assist in overseeing a small team of attorneys within the legal department.
• Juris Doctor (J.D.) from an accredited law school and an active membership in good standing with at least one U.S. state bar.
• 7-10 years of relevant legal experience, including significant experience in commercial contracting (either in a firm or in-house setting).
• Proven track record in drafting and negotiating complex commercial contracts, including MSAs, SaaS subscription agreements, SOWs, and vendor agreements.
• Direct experience in supporting SaaS, technology, or software-enabled services (experience in logistics or supply chain is advantageous).
• Strong comprehension of subscription models, data protection provisions, information security, and liability limitation frameworks.
• Established ability to prioritize tasks in a high-volume contract environment.
• Solid business acumen with the capacity to balance risk with commercial goals in a dynamic setting.
• Exceptional communication and negotiation skills, with the ability to provide clear advice to leadership and cross-functional stakeholders.
