Director, Legal – Data and Content

📋 Description

• Prepare, negotiate, and assess agreements related to sell-side research licensing, exchange and financial data, content distribution, content aggregation, data licensing, and vendor and supplier contracts concerning data acquisition and distribution;

• Engage in research and assist in formulating proposals and project plans for the procurement and/or distribution of data and content;

• Provide guidance to internal stakeholders, including the company's executive team, on matters of data and content, including usage rights/restrictions, regulatory compliance, commercial disputes, and privacy issues;

• Collaborate closely with the Content team on the acquisition and distribution of data and content, which includes formulating relevant policies;

• Stay updated on the evolving legal landscape of relevant global laws, regulations, and industry guidelines;

• Assist in developing and refining playbooks to set company parameters for scaling the legal function as the organization expands;

• Operate efficiently in a fast-paced environment across various functional groups and time zones;

• Offer legal and strategic business counsel to ensure agreements align with playbooks, internal policies, and processes;

• Build and oversee a small team to enhance the department's output;

• Provide support to the AlphaSense legal team on corporate and other general legal issues as required.

⛳️ Requirements

• Juris Doctor degree from an ABA accredited law school and admission to, and good standing with, a state bar;

• At least 8+ years of experience in drafting, reviewing, and negotiating various agreements concerning content/data licensing (including but not limited to sell-side investment research and market data) and advising stakeholders on related matters, preferably with experience in-house at a broker-dealer, investment bank, or financial data provider;

• Familiarity with relevant laws and regulations pertaining to intellectual property, financial data/research, compliance, financial regulation, securities, privacy, and other federal, state, and local laws;

• Proficiency in reviewing and negotiating commercial contracts, including Master Services Agreements, Services Agreements, Statements of Work, Service Level Agreements, Data Licensing Agreements, Content Distribution Agreements, Order Forms, NDAs, etc.;

• Exceptional business acumen with a strong dedication to providing responsive client service to our teams and achieving results; approaches responsibilities with a business-friendly and practical mindset while maintaining an appropriate balance of legal risk;

• Energetic, genuine, and approachable with a good sense of humor; capable of demonstrating strong negotiation skills and the ability to support challenging positions in a firm yet patient manner;

• Effective communicator with the capacity to engage with both internal and external professionals from diverse backgrounds.
