This is a fully remote position, open to applicants in North Carolina.
• Assist in the structuring and negotiation of joint ventures, partnerships, and co-investment arrangements in the power and energy sectors, including multi-tiered PowerCo/project company frameworks, LLC agreements, term sheets, and more.
• Aid in the negotiation of Power Purchase Agreements (PPAs), energy services agreements, and microgrid/behind-the-meter energy infrastructure contracts with data center operators and other large-load clients.
• Facilitate the negotiation of equipment supply agreements (generators, turbines, fuel cells, Battery Energy Storage Systems, etc.) and Operations & Maintenance (O&M) agreements, encompassing warranties, performance guarantees, Service Level Agreements (SLAs), governance, and exit strategies.
• Support the negotiation of natural gas supply and transportation agreements, pipeline construction contracts, utility interconnection agreements, and related energy infrastructure agreements.
• Assist in project finance transactions, collaborating with lenders and financial advisors on commitment letters, loan documentation, guaranty agreements, security packages, and intercreditor arrangements.
• Aid in EPC/GMP construction contracting for power generation and microgrid facilities, ensuring back-to-back flow-down of customer obligations to contractors.
• Directly manage outside counsel by communicating deal strategies, assigning workstreams, reviewing deliverables, and ensuring that the business perspective is integrated into all documentation; oversee legal budgets and timelines.
• Provide counsel on intellectual property issues related to transactions, ensuring proper protection of the company’s proprietary technology through ownership provisions, licensing frameworks, and collateral carve-outs.
• Conduct commercial and legal due diligence on potential partners, co-venturers, lenders, and counterparties; offer strategic advice on credit risk, structural risk, and alignment of deals.
• Support the execution of deals from start to finish, from term sheet to closing, balancing legal rigor with commercial goals.
• Juris Doctor (JD) from an accredited law school.
• Admitted to practice in at least one U.S. state or the District of Columbia.
• 7–12 years of experience in transactional work related to energy, power generation, or project development, with substantial experience on the principal or sponsor side, or at a law firm providing counsel to developers, sponsors, or independent power producers on similar transactions.
• Preferred experience in microgrids, distributed energy resources, gas-fired generation, or renewable energy.
• Familiarity with gas supply, transportation, and pipeline construction agreements is strongly preferred.
• Preferred experience with energy infrastructure servicing data centers or other mission-critical loads.
• Strongly preferred experience with technology licensing or intellectual property protection in joint venture structures.
• Prior in-house experience at an infrastructure developer, independent power producer, or an energy-focused investment platform is strongly preferred.
• Self-motivated individual with exceptional judgment and business acumen; possesses a strong commercial mindset and enjoys close engagement with business operations.
• Hands-on experience in negotiating JV/LLC agreements, PPAs, equipment supply agreements, and project finance loan documents.
• Working knowledge of U.S. energy regulatory frameworks relevant to on-site generation, interconnection, and retail/wholesale power sales.
• Proven capability to manage outside counsel effectively, reviewing outputs and ensuring accountability to the business objectives of each transaction.
• Comfortable working in a fast-paced, high-growth environment with shifting priorities while balancing legal precision with business strategies.
• High emotional intelligence, excellent interpersonal skills, and a demonstrated ability to establish trust with internal stakeholders and external partners.
• A track record of independently managing complex transactions and translating legal considerations into actionable business advice.
