This is a fully remote position, open to applicants in United States.
• Develop and oversee a pipeline of acquisition opportunities within LifeStance's various deal categories: Tuck-In Acquisitions, Specialty Services, Tech Enablement, and Scaled Practices.
• Direct pre-LOI financial and operational assessments, encompassing preliminary valuation, market sizing, and strategic alignment evaluations.
• Foster ongoing relationships with investment banks, M&A advisors, venture capital and private equity firms, as well as industry contacts to cultivate proprietary deal flow.
• Execute competitive analysis and market research to pinpoint acquisition targets that align with LifeStance's strategic objectives and LFST2030 goals.
• Oversee the entire transaction lifecycle from LOI to closure, including diligence coordination, legal process oversight, quality of earnings management, and deal structuring.
• Create and manage financial models—such as DCF, comparable transaction analysis, and returns evaluations—to underpin valuation and deal economics.
• Lead negotiations with sellers, their representatives, and legal advisors.
• Coordinate cross-functional deal teams spanning Finance, Legal, Operations, HR, and Technology.
• Prepare and deliver investment proposals to senior leadership and the Board of Directors.
• Directly supervise and mentor a team of two: a Corporate Development Manager and a Corporate Development Analyst.
• Assess strategic partnership and technology investment prospects alongside traditional M&A, including pilot agreements, minority investment frameworks, and warrant arrangements.
• Aid integration planning in close collaboration with operational teams, ensuring seamless transitions and continuity of deal value post-closure.
• 7–10 years of experience in executing M&A transactions within investment banking, corporate development, or private equity.
• Proven success in closing M&A transactions, with direct accountability for managing diligence, legal processes, and deal structuring.
• Advanced proficiency in financial modeling—DCF, comparable transactions, scenario analysis, and returns modeling.
• Experience in directly managing or mentoring junior team members through active transactions.
• Excellent written and verbal communication skills; capable of articulating investment recommendations effectively to senior executives and board members.
• High level of autonomy and judgment; able to handle multiple transactions concurrently with minimal supervision.
• Bachelor’s degree in Finance, Business, Economics, or a related area.
• Strongly preferred: Experience in healthcare services M&A, particularly in physician practice management, behavioral health, or multi-site provider platforms.
• MBA or equivalent advanced degree.
• Background in working with quality of earnings advisors and managing financial due diligence processes.
• Knowledge of strategic partnership structures, minority investments, and non-standard deal structures.
• Experience at a healthcare-focused investment bank, strategic acquirer, or growth-stage healthcare organization.
