This is a fully remote position, open to applicants in Connecticut.

📋 Description

• Act as a senior legal and strategic business partner for FuelCell Energy, a publicly traded company engaged in power generation, infrastructure, clean energy, equipment manufacturing, and project development.

• Draft, review, negotiate, and provide guidance on utility-scale and behind-the-meter power generation, equipment, electricity sales, power purchase agreements, tolling, interconnection, capacity reservation, and long-term service contracts.

• Negotiate engineering, procurement, and construction agreements, EPC subcontracts, owner’s engineer arrangements, and allocation of construction/project risks.

• Oversee project financing, tax equity, secured financing, and other structured financing issues.

• Assist with public company financing and capital markets initiatives, which include securities offerings, private placements, credit facilities, debt instruments, and coordination of disclosures.

• Facilitate strategic investments, joint developments, joint ventures, partnerships, licensing, technology collaborations, due diligence, transaction structuring, governance, exit rights, and post-closing integration.

• Provide legal guidance across commercial, supply chain, procurement, sales, engineering, manufacturing, and procurement activities from opportunity intake to contract lifecycle management.

• Recognize and mitigate contracting risks related to performance obligations, liquidated damages, remedies, liability limitations, indemnities, and intellectual property.

• Manage external legal counsel, including defining scope, budgeting, reviewing work products, devising legal strategy, and coordinating complex transactions.

• Create and enhance contracting playbooks, templates, contract lifecycle management practices, and cross-functional transaction protocols.


⛳️ Requirements

• Juris Doctor (J.D.) from an accredited law school.

• Active license to practice law in Connecticut or another U.S. jurisdiction.

• Admission to the Connecticut Bar or obtaining Connecticut Authorized House Counsel status within six months of employment, as applicable.

• A minimum of 10 to 15 years of progressively responsible legal experience, including training at a law firm and senior in-house roles.

• Experience in supporting complex commercial, energy, infrastructure, manufacturing, project finance, corporate finance, or public company issues.

• Proven experience in drafting and negotiating equipment supply, EPC, PPA, tolling, long-term service, master supply/procurement, commercial, and project agreements.

• Knowledge of project development and project finance structures, including debt financing, tax equity, sponsor support, guarantees, export credit agency assistance, and due diligence by financing parties.

• Familiarity with M&A, joint ventures, joint development agreements, strategic partnerships, licensing, technology, and commercial arrangements.

• Experience in utility-scale power generation, infrastructure, clean energy, project development, manufacturing, or energy technology sectors.

• Understanding of FERC, ISO/RTO matters, state utility commissions, siting authorities, tariffs, interconnection, permitting, market structures, and energy incentive programs.

• Ability to simplify complex legal, technical, engineering, financial, and commercial issues into straightforward advice.

• Strong judgment in balancing legal risks with commercial goals in a public company environment.

• Exceptional drafting, negotiation, analytical, and legal writing skills.

• Strong business sense and comprehension of project economics, commercial aims, financing constraints, and operational realities.

• Senior-level judgment and discretion.

• Integrity and ethical standards.

• Capability to lead complex negotiations and manage interdisciplinary teams through contract execution.

• Ability to identify issues early, suggest practical solutions, and facilitate timely resolutions.

• Outstanding interpersonal and communication abilities.

• Collaborative, pragmatic, and solutions-oriented mindset.

• Proficiency in Microsoft Office and openness to utilizing legal technology and contract lifecycle management tools.

• Capability to work at a desk and computer for extended durations.

• Ability to navigate buildings and project sites for meetings and site visits.

• Willingness to travel approximately 10%–15%, including potential international travel.

• Readiness to wear required personal protective equipment (PPE), including safety glasses, safety shoes, and hard hats.

• Successful completion of a drug screening, criminal background check, and verification of employment and education.
