This is a fully remote position, open to applicants in United States.

📋 Description

• Provide guidance on issues related to the Investment Advisers Act of 1940 (“Advisers Act”), covering registration requirements, disclosure obligations, and fiduciary responsibilities;

• Offer advice regarding the Securities Exchange Act of 1934 (“Exchange Act”), including Regulation Best Interest, reporting and disclosure obligations, trading regulations, and corporate governance requirements;

• Counsel on compliance with Financial Industry Regulatory Authority (FINRA) rules and regulations, focusing on broker-dealer conduct, advertising, and recordkeeping requirements;

• Monitor, research, review, and assess new state and federal laws and regulations that impact Empower’s broker-dealer and investment advisory operations;

• Collaborate with Empower business groups and leaders to identify and resolve legal issues in product development, sales, operations, client service, call center, marketing, and educational initiatives;

• Assist in negotiating Empower's contractual agreements with plan sponsors and individual clients concerning brokerage and/or advisory services;

• Provide legal advice on corporate governance issues relevant to the Advisers Act, Exchange Act, and FINRA rules;

• Advise on legal and regulatory matters related to stock plan services, including equity compensation plan administration, participant-facing brokerage and advisory service considerations, disclosures, client agreements, operations, and associated product or service initiatives;

• Guide on political contributions, pay-to-play, and political law compliance issues, including relevant policies, monitoring, disclosures, public sector client considerations, and applicable federal, state, and local regulations;

• Engage with representatives from FINRA, SEC, and state regulatory agencies, assisting with responses to various regulatory inquiries.

⛳️ Requirements

• Juris Doctor / Law Degree from an accredited law school.

• Current admission to at least one state bar and a valid license to practice law in the United States.

• A minimum of 2 years of relevant legal experience.

• Proficient in efficiently identifying and analyzing the legal dimensions of business problems and providing practical, actionable legal advice.

• Capable of clearly and efficiently communicating complex legal concepts verbally and in writing to non-lawyers, while offering risk-based compliance strategies.

• Ability to function effectively as a team member within the Empower Workplace Solutions and Empower Personal Wealth legal teams, as well as with other colleagues in the legal department.

• Skilled in engaging and building relationships with business clients at all levels of seniority as a trusted legal advisor.
