Corporate Paralegal – In-House

This is a fully remote position, open to applicants in Canada.

📋 Description

• Prepare and draft corporate legal documents, such as board and shareholder resolutions, minutes, powers of attorney, officers' certificates, and corporate authorizations.

• Maintain minute books, corporate records, statutory registers, and organizational charts for both U.S. and international entities.

• Ensure that entity information in internal systems is accurate and up to date.

• Coordinate annual filings, state registrations, incorporations, dissolutions, amendments, and other corporate modifications across various jurisdictions.

• Communicate with corporate agents, law firms, and government registries to guarantee compliant and timely submissions.

• Oversee the signing, notarization, apostille, and legalization of documents as needed.

• Assist with corporate compliance initiatives, audits, due diligence, financing, and M&A-related activities.

• Facilitate document circulation and approval processes while coordinating signatures.

• Aid legal counsel with research, document organization, and the preparation of internal reports or summaries.

⛳️ Requirements

• A diploma or certificate in paralegal studies (parajuridical) or equivalent professional experience.

• Over 2 years of experience in corporate law, legal operations, or in-house legal support.

• Strong understanding of corporate governance, entity maintenance, and multi-state filings.

• Excellent drafting capabilities, organizational skills, and a keen attention to detail.

• Proficiency in Microsoft Office and tools for document and legal management.
