Corporate Lawyer – Legal Counsel Expert

This is a fully remote position, open to applicants in Texas.

📋 Description

• Deliver legal counsel, acting as the primary attorney on legal inquiries.

• Offer legal insights on contract risks and commercial strategies, assisting the Sales team in identifying suitable methods while balancing business goals with legal obligations.

• Draft, evaluate, and negotiate a diverse array of commercial contracts, including SaaS agreements, contract amendments, NDAs, termination letters, and other client-facing documents.

• Manage contract templates, supervise internal approval processes, and collaborate with insurance brokers regarding contractual endorsements.

• Provide continuous training and educational sessions to the Americas Sales Team on legal issues.

• Keep track of regulatory changes affecting EcoVadis operations, evaluate potential impacts and risks, and offer timely updates and recommendations for necessary actions to comply with upcoming requirements.

• Coordinate the support of external legal advisors.

• Undertake additional responsibilities as reasonably required and directed by Senior Management.

⛳️ Requirements

• Juris Doctor (J.D.) from a law school accredited by the American Bar Association.

• A minimum of 10 years of experience as a practicing transactional attorney in the U.S., including at least 3 years focused on SaaS negotiations.

• An active license to practice law in the United States.

• Exceptional interpersonal, verbal, and written communication skills, along with strong negotiation and contract drafting abilities, including the capacity to communicate professionally and provide approachable legal advice tailored to the audience, both within EcoVadis and with the legal representatives of contracting parties.
