Corporate Lawyer – Legal Counsel Expert

This is a fully remote position, open to applicants in North Carolina.

📋 Description

• Offer legal counsel, acting as the primary attorney on legal inquiries.

• Provide legal insight on contract risks and commercial alternatives, ensuring a balance between business goals and legal obligations.

• Draft, evaluate, and negotiate commercial contracts, including SaaS agreements, contract addenda, NDAs, termination letters, and other customer-related documents.

• Manage contract templates and oversee the internal approval processes.

• Work in collaboration with insurance brokers regarding contractual endorsements.

• Conduct ongoing legal training sessions for the Americas Sales Team.

• Keep track of regulatory changes, evaluate their implications and risks, and suggest appropriate actions.

• Collaborate on the adoption and integration of AI-driven legal technology tools.

• Coordinate the support of external legal counsel.

• Perform additional duties as reasonably required and directed by Senior Management.

⛳️ Requirements

• Juris Doctor (J.D.) from a law school accredited by the American Bar Association.

• A minimum of 10 years of experience as a transactional lawyer practicing in the U.S., with at least 3 years focused on SaaS negotiations.

• Valid license to practice law in the United States.

• Exceptional interpersonal, verbal, and written communication skills, along with strong negotiation and contract drafting capabilities.

• Ability to communicate professionally and be approachable while providing legal advice that is appropriately tailored to the audience, both within EcoVadis and with the legal representatives of contracting counterparties.
