Corporate Lawyer, Legal Counsel Expert

This is a fully remote position, open to applicants in District of Columbia, +1 more state.

📋 Description

• Deliver legal counsel, acting as the primary attorney for legal inquiries.

• Offer legal insights on contract risks and commercial strategies, assisting the Sales team in identifying suitable approaches while balancing business goals with legal obligations.

• Create, review, and negotiate a diverse array of commercial agreements, including SaaS contracts, contract addenda, NDAs, termination letters, and other client-facing documents.

• Maintain contract templates, manage internal approval processes, and collaborate with insurance brokers on contract endorsements.

• Conduct ongoing training sessions for the Americas Sales Team on legal matters.

• Monitor regulatory changes affecting EcoVadis operations, evaluate potential implications and risks, and provide timely updates and recommendations on necessary actions to meet upcoming requirements.

• Coordinate support from external legal counsel.

• Execute other tasks as reasonably assigned by Senior Management.

⛳️ Requirements

• Juris Doctor (J.D.) from a law school accredited by the American Bar Association.

• A minimum of 10 years of experience as a transactional lawyer practicing in the U.S., including at least 3 years focused on SaaS negotiations.

• Valid license to practice law in the United States.

• Exceptional interpersonal, verbal, and written communication skills, along with strong negotiation and contract drafting abilities, including the capacity to provide professional and approachable legal advice tailored to various audiences, both within EcoVadis and with contracting counterparties' legal representatives.
