Corporate Lawyer – Legal Counsel Expert

This is a fully remote position, open to applicants in District of Columbia, +1 more state.

📋 Description

• Offer legal counsel, acting as the primary attorney on legal inquiries.

• Deliver legal insight regarding contract risks and commercial solutions while balancing business goals with legal obligations.

• Draft, assess, and negotiate commercial contracts, including SaaS agreements, contract addenda, NDAs, termination letters, and other client-facing documents.

• Maintain contract templates and manage internal approval procedures.

• Work in conjunction with insurance brokers on contractual endorsements.

• Conduct ongoing legal training sessions for the Americas Sales Team.

• Track regulatory changes, evaluate implications and risks, and provide updates and recommendations.

• Collaborate on the implementation and integration of AI-driven legal technology tools to enhance contract review processes and improve operational efficiency.

• Coordinate support from external legal counsel.

• Perform additional duties as reasonably required and directed by Senior Management.

• Report directly to the Head of Legal and provide advice to business stakeholders throughout the organization.

⛳️ Requirements

• Juris Doctor (J.D.) degree from an American Bar Association accredited law school.

• A minimum of 10 years of experience as a practicing transactional lawyer in the U.S.

• At least 3 years of experience in SaaS negotiations.

• Active license to practice law in the United States.

• Exceptional interpersonal, verbal, and written communication abilities.

• Strong negotiation and contract drafting competencies.

• Capability to communicate professionally and customize legal advice for various audiences.

• Ability to collaborate with EcoVadis stakeholders and legal representatives from contracting counterparties.
