📋 Description

• Take charge of the operational framework for entity management, corporate filings, resolutions, governance records, intellectual property administration, and assistance with corporate structuring.

• Supervise the lifecycle of WBL entities, which includes formations, qualifications, amendments, mergers, conversions, dissolutions, and withdrawals.

• Keep entity records up to date, including organizational charts, officer and director details, ownership information, addresses, registered agents, and good-standing status.

• Manage governance documents such as minute books, charters, bylaws, operating agreements, consents, resolutions, certificates, and other related materials.

• Set standards for naming, filing, retention, access, and quality control for corporate records.

• Draft and coordinate resolutions and written consents for boards, managers, members, shareholders, and officers.

• Maintain governance calendars and ensure that approvals are obtained, executed, and retained as required.

• Verify entity authority, signatory authority, and necessary approvals for corporate actions and business requests.

• Assist with governance reporting and preparation for meetings, audits, transactions, financings, and diligence requests.

• Oversee annual reports, franchise and entity-related filings, foreign qualifications, registered-agent matters, and remediation of good-standing issues.

• Provide support for corporate structuring, reorganizations, and expansion into new jurisdictions in collaboration with Legal, Finance, Tax, and Operations teams.

• Coordinate the administrative components of intellectual property registrations, renewals, assignments, and recordkeeping.

• Manage external filing services and governance vendors, ensuring the accuracy of their work.

• Develop and document scalable policies, procedures, templates, controls, and workflows for entity management and corporate governance.

• Create dashboards and reports detailing entity status, obligations, pending actions, governance risks, and record completeness.

• Collaborate with Legal, Finance, Tax, Operations, and executive stakeholders to gather accurate information and resolve any discrepancies.

• Supervise and mentor the Corporate Governance Associate by assigning workloads and reviewing quality.


⛳️ Requirements

• A bachelor's degree in legal studies, business, finance, accounting, or a related field; equivalent relevant experience may also be considered.

• A JD, paralegal credential, corporate-governance credential, or entity-management certification is preferred, though not mandatory.

• Over 5 years of experience in corporate governance, entity management, corporate legal operations, securities administration, or a similar in-house or law-firm role.

• Proven experience handling formations, dissolutions, qualifications, annual filings, resolutions, and corporate records.

• Experience with supporting corporate structuring, transactions, audits, or due-diligence requests.

• Strong skills in project management, drafting, quality control, and stakeholder management.

• Preferred experience in financial services, commercial lending, private lending, banking, fintech, specialty finance, mortgage lending, or another highly regulated sector.

• Understanding of the entity lifecycle and management of good-standing statuses.

• Familiarity with corporate resolutions, consents, minute books, and authority records.

• Knowledge of governance calendars, organizational charts, filings, and records controls.

• Experience with entity management platforms, registered-agent portals, document repositories, and Microsoft Office applications.

• A stable, reliable internet connection.

• A professional and dedicated remote working setup.

• Ability to work effectively within a remote, multinational organization while maintaining confidentiality.
