This is a fully remote position, open to applicants in Canada.
• Provide guidance to the Board of Directors and executive management on matters related to corporate governance, encompassing fiduciary responsibilities, board procedures, and best practices.
• Create, assess, and manage corporate governance documents, such as bylaws, charters, policies, resolutions, and materials for committees.
• Assist with compliance obligations for public companies, including the preparation of proxy statements, organization of annual meetings, SEC filings, and adherence to disclosure requirements.
• Supervise entity management, corporate documentation, and subsidiary governance to guarantee compliance with relevant laws and internal standards.
• A minimum of 6 years of experience in corporate governance, securities, or representation of public companies.
• In-depth understanding of corporate law, SEC regulations, proxy rules, and practices related to board governance.
• Must be actively licensed and in good standing in Ontario or Alberta.
• Completion of a background check may be required.
