This is a fully remote position, open to applicants in Virginia.
• CEG is looking for an in-house attorney to act as a practical legal resource for the organization.
• Managing contract intake, legal assessments, redlines, internal alignment, approvals, and signatures.
• Leading negotiations and facilitating execution across our portfolio, which includes prime contracts, subcontracts, vendor agreements, and proposal/RFP terms.
• Offering general business legal support throughout the company (providing daily legal guidance, identifying issues, and coordinating with external counsel as necessary).
• Reviewing third-party contracts, such as prime agreements, RFPs/solicitation terms, subcontracts, purchase orders, professional services agreements, consulting agreements, and change orders/amendments.
• Identifying and clearly articulating legal, financial, scheduling, and operational risks.
• Suggesting specific, actionable redlines that align with CEG’s risk framework.
• Coordinating internal reviews and approvals (including project teams, operations, finance, risk/insurance, leadership, and outside counsel when necessary).
• Ensuring that all approved redlines are accurately represented in the final execution documents and attachments/exhibits.
• Assisting with subcontract negotiations and ensuring that subcontract and vendor agreements adequately incorporate applicable prime contract obligations and protections.
• Supporting proposal/RFP responses by reviewing terms and conditions, developing exceptions/clarifications, and aligning commercial positions with pricing, scheduling, and delivery assumptions.
• Providing daily legal assistance and contract compliance management on broader business issues as required (e.g., corporate governance, employment-related issue identification in collaboration with HR, vendor disputes, compliance/ethics inquiries, etc.).
• Juris Doctor (JD) from an ABA-accredited law school is required.
• An active license to practice law in at least one U.S. jurisdiction (in good standing) is required.
• 5–10+ years of pertinent legal experience (either in-house or at a law firm), including commercial and government contracting and negotiation in construction, energy services, energy consulting, etc.
• Outstanding written communication skills, a disciplined approach to redlining, and the ability to distill complex risks into clear recommendations.
• Highly organized, with the ability to create and maintain contract trackers, dashboards, and contracting workflows.
• Proven ability to leverage AI tools for efficiency while ensuring accuracy and exercising independent judgment.
• Preferred: experience in ESCO/EPC/construction environments, public-sector or federal contracting, and/or contract flow-downs.
• Preferred: Familiarity with bonding/surety concepts and coordination related to risk/insurance.
