Corporate Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Prepare, analyze, modify, and negotiate customer contracts, including SaaS/subscription agreements, data use agreements, and business associate agreements.

• Evaluate and negotiate agreements with vendors, suppliers, and third-party service providers, including software licenses, data processing agreements, and subcontractor BAAs.

• Collaborate with the General Counsel to maintain contract templates, playbooks, and negotiation guidelines.

• Monitor contract obligations, renewal deadlines, and critical terms; assist in managing contract lifecycle processes.

• Contribute to the development, leadership, and upkeep of the corporate compliance program, encompassing HIPAA/HITECH, state privacy laws, and AI regulations.

• Create, modify, and enforce policies related to privacy, information security, data governance, AI governance, vendor management, and incident response.

• Facilitate policy deployment and training throughout the organization.

• Aid in compliance monitoring, internal audits, risk evaluations, incident responses, and breach investigations.

• Perform legal research on healthcare regulations, health data privacy, and AI/algorithmic accountability.

• Keep track of legislative and regulatory changes and translate insights into business guidance.

• Draft legal memoranda regarding regulatory changes and their implications for the business.

• Assemble compliance reports, trackers, and dashboards for the General Counsel and executive leadership.

• Assist with reporting for boards, audit, and compliance committees.

• Provide daily legal support to sales, product, engineering, HR, and marketing teams.

• Support corporate matters and legal projects assigned by the General Counsel.

• Oversee or assist with engagements involving outside counsel.


⛳️ Requirements

• Juris Doctor (J.D.) degree from an ABA-accredited law school.

• Active license to practice law in good standing in at least one U.S. jurisdiction; Tennessee preferred, or eligibility for in-house/registered in-house counsel status in the state of employment.

• 1–4 years of relevant legal experience in a law firm, in-house legal department, or healthcare/technology regulatory setting.

• Strong legal research, writing, and analytical abilities.

• Capability to interpret complex regulatory requirements into straightforward, practical guidance.

• Excellent organizational skills with the ability to independently manage multiple projects and deadlines.

• Professionalism, discretion, and sound judgment when handling sensitive and confidential information.

• Strong interpersonal and communication skills for effective collaboration with business, technical, and clinical stakeholders.

• Detail-oriented with the capacity to work both independently and collaboratively within a small legal team.

• Genuine interest in healthcare technology, clinical data, and artificial intelligence.

• Must successfully pass a background check.

• Must be authorized to work in the United States on a full-time, permanent basis without current or future sponsorship.

• CIPP/US or similar privacy/compliance certification is advantageous or a willingness to obtain it; not required.
