Corporate Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Assist with transactions involving customers, partners, and resellers, which includes Master Purchase Agreements (MPAs), Master Service Agreements (MSAs), Service Level Agreements (SLAs), data processing agreements, reseller agreements, and associated commercial documentation.

• Facilitate vendor, procurement, and supply chain contracting, covering hardware, components, services, logistics, and technology-related arrangements.

• Provide advice to operations and product teams regarding legal and commercial matters related to product development, delivery, support, customer requirements, and sales.

• Create, maintain, and enhance contract templates, playbooks, and legal workflows.

• Offer practical, risk-informed legal counsel to internal stakeholders.

• Keep abreast of pertinent legal and regulatory changes that could impact the business.

• Support ad hoc legal matters, special projects, and initiatives that align with business objectives.

⛳️ Requirements

• Juris Doctor (J.D.) degree from an accredited U.S. law school and admission to a state bar.

• Over 4 years of pertinent experience in-house or at a law firm negotiating commercial agreements.

• Familiarity with issues relating to hardware products, software, technology licensing, and Software as a Service (SaaS).

• Proficient understanding of corporate, commercial, privacy, and intellectual property law.

• Strong communication skills, with the ability to simplify complex legal concepts into clear, actionable business advice.

• Team-oriented and capable of fostering robust cross-functional relationships.

• Self-driven, flexible, and able to work autonomously.
