This is a fully remote position, open to applicants in United States.
• Assess and negotiate agreements with customers and vendors, including Master Service Agreements (MSAs), Data Processing Agreements (DPAs), Non-Disclosure Agreements (NDAs), information security addendums, and supplier codes of conduct.
• Oversee a significant and consistent volume of enterprise contracts involving major customers and suppliers.
• Conduct legal research beyond the primary focus area utilizing various tools to provide swift and well-reasoned responses.
• Recognize when to collaborate with specialized external legal counsel.
• Work in tandem with the sales team to safeguard the company's interests while maintaining momentum.
• Develop and sustain contract templates, redlining playbooks, and internal guidelines.
• Facilitate expedited low-risk paperwork processing without necessitating a complete legal review each time.
• Manage direct negotiations and engage with company leadership.
• Proven experience as a contract attorney or commercial counsel.
• Proficient in SaaS, enterprise, and vendor agreements.
• Familiarity with the practical aspects of contract negotiation.
• Experience in negotiating large-scale, complex enterprise sales contracts.
• Capability to provide pragmatic and professional pushback while preserving relationships and finalizing deals.
• Comfortable utilizing tools to enhance legal research and drafting, particularly outside primary expertise.
• Proactive approach with the ability to deliver clear answers promptly.
• Skill in identifying genuine risks and determining the necessity for specialized external legal counsel.
• Some exposure to international or EU commercial contract law is preferred.
• Prior experience in a startup in-house environment is advantageous.
• Familiarity with enterprise cloud, hosting, or bare metal infrastructure agreements is a plus.
