This is a fully remote position, open to applicants in United States.
• Prepare and assess commercial contracts, including vendor agreements, partnership agreements, software licenses, and technology and media services agreements.
• Provide guidance on relevant data privacy and emerging technologies (such as AI) laws, including applicable state regulations, and offer related input on business initiatives.
• Aid in the review and negotiation of data protection and data processing agreements.
• Contribute to the continuous enhancement of training materials, document templates, internal policies, and resource documents for both businesses.
• Collaborate with marketing and product teams to ensure that marketing, sales, promotional materials, and product designs comply with legal standards.
• Proactively recognize legal and regulatory trends, conduct research on legal issues, and offer related counsel.
• Work in partnership with various teams to identify legal challenges and support the Taxwell organization in its business development efforts.
• Develop a comprehensive understanding of Drake Software and TaxAct's operations, including TaxAct Professional and 1040.com, their strategies, external commercial marketplace, and regulatory landscape.
• Analyze and devise various strategies that align with business goals while identifying and mitigating legal risks.
• Demonstrate a willingness to engage with emerging technologies and address legal risks and compliance with federal and state laws.
• Collaborate closely with the Taxwell Procurement, Infosec, and Governance, Risk, and Compliance (GRC) teams.
• Act as the primary liaison for the Taxwell Business Development team.
• Juris Doctor degree from an ABA-accredited law school and current membership in good standing with at least one state bar.
• Over 6 years of legal experience in a law firm and/or in-house legal department, ideally with expertise in technology, software, SaaS, privacy, marketing, product counseling, or commercial transactions.
• Extensive experience in drafting and negotiating a diverse range of agreements, including software licenses, SaaS agreements, master services agreements, vendor agreements, referral and marketing agreements, partnership agreements, confidentiality and non-disclosure agreements, data protection agreements, and other general business contracts.
• Proficient understanding of privacy and data protection laws, including state consumer privacy regulations, with experience advising business teams on privacy-related matters.
• Familiarity with legal issues related to AI, including data usage, transparency, vendor diligence, product counseling, intellectual property, privacy, and emerging regulatory requirements.
• Experience providing counsel on advertising, marketing, e-commerce, consumer protection, promotional campaigns, offers, and related FTC or state-law compliance matters.
• Capability to deliver practical, business-oriented legal advice while balancing legal risks with business objectives.
• Exceptional drafting, negotiation, analytical, and communication skills.
• Strong interpersonal skills with the ability to collaborate effectively with internal clients, outside counsel, senior management, and business partners.
• Ability to operate independently, manage multiple priorities, and adapt in a fast-paced, ever-changing environment.
• Sound judgment, attention to detail, and a collaborative, solution-focused approach.
• Flexibility to work in-office (Dallas), hybrid, or remotely; occasional travel may be required.
