Corporate Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Oversee ongoing and prospective litigation, which includes assessing claims, advising on legal strategies, coordinating with internal stakeholders, and tracking deadlines and results.

• Choose, engage, and oversee external counsel, consultants, and other legal service providers.

• Supervise litigation budgets to ensure that outside counsel delivers effective and cost-efficient representation.

• Recognize legal and regulatory risks while proposing practical solutions that facilitate business operations.

• Aid in compliance with governmental trade regulations, sanctions, licensing obligations, consumer protection laws, privacy laws, and other relevant requirements.

• Investigate evolving laws and regulations, translating legal obligations into straightforward guidance for team members and business leaders.

• Review and address escalated customer complaints, disputes, and issues submitted to governmental, regulatory, or consumer agencies.

• Collaborate with internal teams to create fair, practical, and legally sound resolutions to customer concerns.

• Draft, evaluate, negotiate, and manage commercial contracts and business agreements.

• Offer legal advice on corporate governance, employment issues, privacy, intellectual property, real estate, and general business operations.

• Conduct legal research and compose written recommendations, opinions, and guidance for management.

• Assist in maintaining corporate entities, licenses, resolutions, operating agreements, and legal documentation.

• Contribute to the development and enhancement of company policies, procedures, and internal controls.

• Manage confidential and sensitive issues with discretion and sound judgment.


⛳️ Requirements

• Juris Doctor (J.D.) from an accredited law school.

• Active membership and good standing with a U.S. state bar.

• Experience in supporting litigation, dispute resolution, risk management, and regulatory compliance.

• Excellent legal research, analytical, written, and verbal communication skills.

• Ability to independently manage responsibilities while working collaboratively with a larger team.

• Strong customer service orientation and the ability to cultivate productive relationships across the organization.

• Practical judgment and the capability to balance legal risks with customer and business needs.

• Proficiency in managing competing priorities and responding effectively in dynamic or uncertain situations.

• Willingness to obtain bar admission in Florida, Oregon, California, Texas, or Delaware if necessary.

• Capacity to handle confidential and sensitive information.
