This is a fully remote position, open to applicants in United States.
• Assist with corporate governance responsibilities for Human Interest Inc. and Human Interest Advisors, focusing on board and stockholder actions, subsidiary management, and entity documentation.
• Create and facilitate board and committee materials; collaborate with the Finance team on the logistics, distribution, and tracking of these preparations.
• Oversee the Legal aspects of cap table and equity operations, including option grants, 409A coordination, executive compensation, and equity refresh cycles, in close partnership with the Finance and People teams.
• Provide support for corporate finance and transactional activities across a variety of transaction types, including equity, secondary transactions, debt, convertibles, and other complex financing arrangements.
• Develop and maintain governance and transactional playbooks, templates, and processes that enable Legal to scale alongside the business.
• Assist with IPO readiness initiatives.
• Manage external legal counsel on corporate and securities issues.
• Lead the negotiation and execution of commercial agreements, such as NDAs, vendor contracts, data processing agreements, and other necessary contracts.
• Provide support for M&A and other strategic transactions as they arise.
• You possess a J.D. from an ABA-accredited law school and are an active member in good standing of at least one U.S. state bar.
• You have over 4 years of corporate and securities experience at a leading law firm, including at least one in-house position, ideally within a private, high-growth company.
• You are knowledgeable about a variety of corporate transactions: equity, secondary transactions, debt, and other complex financing structures.
• You have a solid understanding of cap table mechanics, equity administration, and corporate governance for multi-entity frameworks.
• Experience in public company reporting and securities compliance is advantageous.
• You have a proven track record in drafting, negotiating, and managing commercial contracts, including NDAs, vendor agreements, data processing agreements, and other transaction types.
• You have incorporated AI tools into your legal practice and comprehend how AI can influence contracting, transaction management, and legal operations.
• Experience in regulated sectors (fintech, financial services, healthcare, or similar) is preferred.
• You are located in the Pacific or Mountain time zones.
• You are pragmatic and business-oriented — risk-aware rather than risk-averse — and can communicate effectively with both legal and non-legal stakeholders.
