📋 Description

• Prepare, evaluate, and negotiate a diverse array of commercial agreements, such as NDAs, software licensing agreements, SaaS and subscription contracts, vendor and procurement agreements, reseller and channel partner contracts, and strategic partnership arrangements.

• Provide guidance on intricate commercial deal structures, including usage-based and consumption pricing, overage and true-up mechanisms, minimum commitments, renewal pricing tiers, and multi-year enterprise contracts.

• Show proficiency with AI tools within a legal framework (e.g., Claude Cowork or similar assistants), utilizing AI to enhance drafting quality, accelerate review processes, or identify issues, while continuously refining prompts and critically assessing AI outputs.

• Advise business teams on various legal matters, including intellectual property, open source software licensing (focusing on OpenJDK, GPLv2 with Classpath Exception, and related ecosystem concerns), contributor licensing agreements, corporate governance, commercial law, data privacy (GDPR, CCPA/CPRA, and emerging state privacy legislations), export controls and sanctions (including OFAC, BIS Entity List, and EU regulations), and product security legislation (including obligations under the EU Cyber Resilience Act).

• Counsel on the creation, implementation, and governance of artificial intelligence tools — both AI functionalities developed by Azul and internal AI systems (including agentic AI tools) utilized across engineering, sales, and administrative functions. This encompasses drafting acceptable use policies, reviewing AI vendor and model provider agreements, assessing AI-generated code disclosure and provenance requirements, addressing AI-related customer inquiries, and monitoring updates concerning the EU AI Act, U.S. federal and state AI regulations, and related frameworks.

• Collaborate with engineering and security teams on guidelines governing AI-assisted development, including code attribution, license audit preparedness, and compliance with upstream contributor obligations (e.g., OCA-governed projects).

• Assist with incident response, regulatory investigations, and customer assessments.

• Work alongside the legal team to formulate and enforce best practices and policies in contracting, licensing, AI governance, and compliance; contribute to playbooks, templates, and self-service resources that enhance legal operations across the business.

• Collaborate with Deal Desk, Sales, and Finance to accelerate the pace of deals while managing associated risks, especially as the volume of deals increases.

• Availability for early morning and late-night communications with international opposing counsel, clients, and teams across EMEA and APAC.


⛳️ Requirements

• Over 8 years of experience in the responsibilities mentioned above or a comparable in-house position; experience with an enterprise software, open source, or infrastructure software firm is a significant advantage.

• J.D. degree and an active license in California.

• Understanding of open-source licensing frameworks and their commercial ramifications.

• Familiarity with AI/ML concepts adequate to identify issues concerning output ownership, indemnification, and risks associated with agentic systems; a willingness to deepen expertise as the field progresses.

• Capability to closely collaborate with all business units (engineering, product, marketing, sales, finance, human resources, and information technology) and convey legal concepts to both technical and non-technical audiences.

• Strong attention to detail, ability to work autonomously and as part of a team, and exceptional organizational skills — including the capacity to manage a high-volume contracts pipeline without losing focus.

• Openness to learning and adapting to new challenges, particularly in rapidly evolving regulatory domains (AI, privacy, cybersecurity, export controls).
