Corporate Attorney – Contracts

📋 Description

• Draft, negotiate, and finalize a range of commercial agreements, such as customer contracts, vendor and supplier agreements, NDAs, licensing arrangements, and partnership contracts.

• Deliver practical legal counsel regarding contract interpretation, compliance requirements, and strategies for risk mitigation.

• Collaborate with Sales, Finance, Operations, and Engineering teams to enhance deal structuring and contracting efficiency.

• Create and maintain standardized contract templates, playbooks, and contracting workflows to optimize processes and ensure uniformity.

• Recognize legal and business risks within contractual relationships and offer innovative, practical solutions to reduce exposure.

• Ensure compliance with relevant data protection, export control, and other regulatory frameworks in global transactions.

• Oversee or assist in the resolution of contract-related disputes and escalations.

• Provide support for other corporate legal issues as necessary, including governance, compliance, and operational legal initiatives.

⛳️ Requirements

• J.D. degree from an accredited law school and active membership in at least one U.S. state bar (or international equivalent for global applicants).

• Over 6 years of experience as a transactional or corporate attorney, preferably with both law firm and in-house experience.

• Extensive expertise in drafting, reviewing, and negotiating complex commercial and technology contracts.

• Strong knowledge of technology infrastructure, data center operations, cloud, or SaaS business models is preferred.

• Exceptional analytical, negotiation, and written communication skills.

• Business-focused mindset with the ability to balance legal prudence and commercial flexibility.

• Experience with cross-border contracts or international legal frameworks is a plus.

• Proven capability to work independently and collaboratively in a fast-paced, distributed environment.
