Contracts Negotiator, Global Transactions

This is a fully remote position, open to applicants in United States.

📋 Description

• Assist Coalfire in managing, administering, and negotiating contracts for global revenue transactions.

• Provide support for overflow procurement transactions.

• Evaluate, negotiate, and draft contracts for Coalfire's products and services in line with company policies.

• Review, draft, and negotiate various commercial agreements, including MSAs, SOWs, Order Forms, NDAs, subcontractor agreements, teaming agreements, professional services agreements, SaaS and software license agreements, DPAs, BAAs, channel and reseller agreements, government contracts, task orders, and vendor and procurement agreements.

• Deliver legal support to revenue and procurement contract teams.

• Suggest negotiation strategies and techniques to internal business partners.

• Assist in the development, enhancement, and implementation of contracting policies, guidelines, and exceptions.

• Evaluate contract risks and propose mitigation strategies.

• Aid in legal and compliance projects and tasks, including the updating of contract templates and legal forms.

• Manage the legal inbox, triaging incoming requests, routing matters, and responding to routine inquiries.

• Prioritize and manage multiple projects while meeting deadlines and maintaining communication with stakeholders.

• Track trends and best practices regarding emerging contracting, legal, and business risks.

• Act as the primary organizational contact during contract negotiations.

• Collaborate with the legal team on concepts, techniques, standards, and solutions for complex issues.

• Provide training for team members and business colleagues on contract management.

• Support risk management and litigation initiatives as necessary.

• Travel required: 10%

⛳️ Requirements

• Over 5 years of experience as a contracts professional handling a significant volume of commercial contracts.

• Bachelor’s degree or a comparable combination of relevant education, training, or work experience.

• A Master’s degree or Juris Doctor can replace two years of experience.

• Strong interest in commercial transactions and the cybersecurity sector.

• Proficient in Salesforce, Box, Microsoft Office Suite, Microsoft Teams, Ironclad, contract lifecycle management tools, GC AI, and Glean.

• Exceptional written, verbal, and interpersonal communication abilities.

• Proven history of building relationships among stakeholders.

• Demonstrated organizational and analytical skills along with sound business judgment.

• Capacity to maintain confidentiality and exercise discretion.

• Strong drafting capabilities and consistency in language across similar agreements.

• Excellent problem-solving and analytical skills.

• Willingness and ability to enhance program performance and efficiencies.

• Proactive, diligent, conscientious, and accountable work ethic.

• Familiarity with the Ironclad contract lifecycle management platform is preferred but not mandatory.
