This is a fully remote position, open to applicants in United States.
• Analyze customer redlines against EDCi standard customer contracts, which include standard business contracts, HIPAA-related contracts, subcontractor, and vendor/partner agreements.
• Conduct thorough assessments of contracts and terms/conditions to identify, mitigate, and eliminate atypical risks, liabilities, and remedies in line with policies and sound business judgment.
• Work collaboratively with external counsel and senior leadership, negotiate redlines with customers, and spearhead legal collaboration initiatives.
• Provide clarity on contract terms and conditions to management and other business leaders.
• Serve as the primary point of contact for both internal and external communications regarding contract issues.
• Engage in the sales process by offering expert advice and insights on the contracting procedure.
• Lead customer conference calls, potentially with outside legal representatives, to review proposed redlines and negotiate accepted contract language.
• Collaborate with or escalate atypical contract language or requests to the COO.
• Regularly update and maintain EDCi contract templates and business processes according to business needs and regulatory changes.
• Work together with internal stakeholders, including sales, professional services, finance, information technology, and security teams, to ensure contract terms are in alignment with business goals.
• Identify potential risks within contracts and offer strategic recommendations to minimize exposure.
• Maintain contract tracking tools and the contract repository, monitoring key contract deadlines and obligations.
• Participate in healthcare contract requirements, including attestations, audit processes, and BAA tracking.
• Ensure all contracts adhere to company policies, industry regulations, and legal standards with the support of counsel.
• Confirm that all customers and vendors possess contracts that fulfill EDCi’s business requirements.
• Review legal expenses, categorize them by internal departments, and submit for payment.
• Stay informed about changes in contract law, industry regulations, and compliance requirements pertinent to EDCi’s operations.
• A Bachelor’s degree in Business, Legal Studies, or a related field is required.
• At least 5+ years of experience in contract management, legal review, or a similar role, preferably within the technology sector.
• Proven understanding of contractual legal issues, provisions, and applications, along with a foundational knowledge of related insurance matters.
• Strong skills in contract development and negotiation, including the creation and implementation of risk mitigation standards and measures.
• Preferred experience in the healthcare, legal, technology, or security sectors.
• Ensure prompt turnaround of redlines to expedite the contract process.
• Comprehensive knowledge of contract law, negotiation principles, and risk management.
• Exceptional attention to detail, strong analytical skills, and the ability to multitask and prioritize effectively, even under pressure.
• Ability to showcase outstanding customer service skills.
• Process-improvement oriented with a proactive approach.
• Excellent written and verbal communication skills, including presentation abilities.
