Commercial Counsel – SaaS, Technology Transactions

This is a fully remote position, open to applicants in Canada.

📋 Description

• Negotiate software licenses, order forms, statements of work, service level agreements, and professional services contracts.

• Engage in negotiations for NDAs, data processing agreements, vendor and procurement contracts, technology partnerships, as well as reseller and distribution agreements.

• Provide counsel on indemnities, limitations of liability, warranties, intellectual property rights, data usage, confidentiality, privacy, information security obligations, payment terms, and termination rights.

• Collaborate with Sales, Product, Finance, Procurement, Privacy, and Security to devise practical solutions and facilitate timely deal closures.

• Manage multiple negotiations independently, evaluate and escalate significant legal and commercial risks, and deliver clear, actionable guidance.

• Assist in contracting for AI-enabled products and services, focusing on data usage, model training, output rights, and risk allocation.

• Work together on international transactions and jurisdiction-specific contracting requirements.

• Create and enhance standard agreement templates, negotiation playbooks, fallback strategies, and contract processes.

⛳️ Requirements

• Juris Doctor (J.D.) or an equivalent law degree.

• Active admission to practice law in at least one jurisdiction.

• A minimum of 5 years of relevant experience in commercial and technology transactional law.

• Extensive hands-on experience negotiating B2B SaaS and enterprise software agreements.

• Strong commercial judgment along with contract drafting and negotiation expertise.

• Familiarity with technology licensing, intellectual property, privacy, and information security issues.

• Capability to work independently, prioritize competing deadlines, and collaborate effectively with cross-functional teams.

• Preferred experience in AI or generative AI contracting and global or cross-border commercial negotiations.

• Proficient in MS Suite, Link Squares, Ivo, Jira, Claude, and OpenAI.

• Must be legally eligible to work in the country of application without sponsorship.
