Commercial Counsel, Privacy (EMEA)

This is a fully remote position, open to applicants in United Kingdom.

📋 Description

• Prepare, review, and negotiate SaaS customer agreements (including MSAs, Order Forms, DPAs, NDAs, and AI addendums) for Constructor's EMEA clientele.

• Assist in structuring deals and developing commercial strategies for Constructor's enterprise sales pipeline across EMEA regions.

• Collaborate with the Head of Legal and COO to establish scalable legal processes, policies, and training for a rapidly expanding international business.

• Enhance the efficiency of the Legal team by creating and maintaining contract templates, playbooks, and self-service resources, as well as exploring process automation opportunities.

• Act as a reliable legal advisor on GDPR, ePrivacy Directive, NIS2, EU AI Act, and other relevant European and Middle Eastern privacy regulations (including PDPL).

• Counsel product and engineering teams on privacy-by-design principles concerning Constructor's data collection and usage.

• Oversee Constructor's data protection compliance program for EU/UK operations, which includes ROPA maintenance, DPIAs, responding to data subject access requests, and advising on cookie and tracking compliance under the ePrivacy Directive.

• Keep abreast of emerging AI regulatory changes across EU member states and the UK, advising leadership on their implications for Constructor's products and commercial activities, and executing compliance initiatives.

• Monitor and evaluate legislative and regulatory changes in key European markets that could impact Constructor's products, sustainability practices, data practices, or commercial operations.

• Provide support for Constructor's EU/UK employment law requirements.

⛳️ Requirements

• Exceptional written and verbal communication skills in English.

• Juris Doctor or equivalent law degree from an accredited institution in the EU, US, or UK.

• Licensed to practice law in at least one EU member state, the US, or the UK.

• 5-10 years of legal experience with significant exposure to European data protection and commercial technology transactions (preferred qualification).

• Experience as in-house counsel, preferably in a technology or SaaS company (preferred qualification).

• Understanding of AI products and associated legal and contractual matters (preferred qualification).

• Strong negotiation skills capable of balancing legal risks with commercial goals in a dynamic environment (preferred qualification).

• Ability to work independently in a remote-first setting (preferred qualification).

• Proven experience in drafting and negotiating enterprise SaaS agreements (preferred qualification).

• Capacity to exercise sound judgment, effectively prioritize, and manage a varied workload with changing priorities (preferred qualification).

• In-depth knowledge of GDPR, UK GDPR, and the ePrivacy Directive (preferred qualification).

• Practical experience in managing privacy programs, including advising on data processing activities, international data transfers, ROPAs, DSARs, incident response planning, and DPIAs (preferred qualification).

• CIPP/E certification or equivalent data protection qualification (preferred qualification).

• Proficiency in at least one additional European language (preferred qualification).

• Experience in a high-growth startup environment, working within a lean legal team (preferred qualification).
