This is a fully remote position, open to applicants in United States.
• Take responsibility for the entire lifecycle of commercial contracts, which includes drafting, reviewing, negotiating, and finalizing agreements with health systems and other partners.
• Oversee all vendor contracts and third-party relationships, which entails negotiating and reviewing SaaS agreements, service contracts, licensing agreements, data processing agreements, and various procurement-related contracts.
• Work collaboratively with finance, security, and compliance teams to assess and facilitate vendor relationships, ensuring that third parties adhere to Cadence's operational, regulatory, and information security standards.
• Create and maintain contracting playbooks and templates designed to empower the sales and procurement teams to operate swiftly while safeguarding Cadence's interests.
• Manage the current contract portfolio, addressing amendments, renewals, and inquiries from partners and vendors, ensuring that obligations are tracked and fulfilled.
• Provide guidance to internal stakeholders on healthcare regulatory considerations in deal structures, including the Anti-Kickback Statute, Stark Law, Civil Monetary Penalties, and state licensure requirements.
• Collaborate with sales, partnerships, finance, and clinical operations to design deals that are in alignment with Cadence's service lines and Medicare reimbursement frameworks.
• A minimum of 5 years of experience managing commercial contracts either in-house or at a law firm, with a strong preference for background in healthcare or life sciences. Experience on both the sell-side (customer/partner agreements) and buy-side (vendor/procurement contracts) is preferred.
• Familiarity with federal and state healthcare regulations, including the Anti-Kickback Statute, Stark Law, Civil Monetary Penalties Law, and clinical licensure and scope-of-practice requirements. Knowledge of HIPAA and privacy law is beneficial. Experience with contracting for payers is also a plus.
• Proven experience in building or enhancing contracting processes, including playbooks, clause libraries, or template suites that support a growing organization.
• Juris Doctor degree from an accredited law school and an active bar membership in at least one U.S. jurisdiction.
• A commercial attorney with healthcare experience who excels in high-velocity, mission-driven settings and is comfortable taking ownership of the contracting function with minimal oversight.
• Proficiency with AI research and productivity tools, along with the ability to critically evaluate AI-driven insights, distinguishing meaningful information from irrelevant data in a rapidly changing information landscape.
