Commercial Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Serve as the primary contact for legal inquiries throughout the organization, including Sales, Customer Success, Product, Engineering, Marketing, People Operations, and more.

• Manage the entire contracting process – from drafting to negotiating a comprehensive array of agreements related to customers, vendors, and operational issues.

• Develop and maintain the framework that supports the Legal department – including systems, processes, and programs.

• Collaborate with external counsel on specialized issues – providing context, overseeing workflows, and applying their guidance back into the organization.

• Remain informed about the legal and regulatory environment that influences our operations.

• Enhance Legal’s visibility and credibility within the company through effective and proactive communication.

⛳️ Requirements

• Juris Doctor degree from an accredited law school and active bar membership in at least one US state.

• 4-7 years of experience in transactional law, with a significant emphasis on commercial contracts, whether in a law firm, in-house, or both.

• Strong understanding of SaaS and data licensing; experience negotiating with enterprise clients is advantageous.

• Familiarity with healthcare-related regulatory frameworks (HIPAA, No Surprises Act, CMS price transparency) – or a genuine willingness to learn about them.

• Low ego paired with a strong sense of ownership.

• Intellectually curious and adaptable, with a desire to gain a deep understanding of the business, not just the inquiries that come your way.

• Comfortable being the sole legal representative in discussions – and confident enough to say "I don't know yet, but I will find out" without compromising credibility.

• Experience with AI tools such as Claude and ChatGPT, along with overseeing the legal aspects of AI at TQ.
