Commercial Counsel

This is a fully remote position, open to applicants in California, +8 more states.

📋 Description

• Draft and negotiate intricate SaaS sales agreements with our largest clients and potential customers, including associated privacy and information security terms.

• Collaborate closely with the sales and deal desk teams, as well as professional services, revenue operations, sales operations, and finance/accounting.

• Provide legal guidance and practical business advice, when suitable, to ServiceTitan and its subsidiaries regarding deal structure, contract drafting and negotiation, and risk assessment and management.

• Work alongside the Senior Commercial Counsel and business leaders to enhance contract management, playbooks, workflows, processes, templates, and best practices to align with our rapidly expanding business.

• Assist as necessary on partnerships, joint ventures, marketing, vendors (in general), B2B integration, professional services, and software/intellectual property development and licensing agreements.

• Promote continuous improvement, scalability, and operational excellence in deal processes and execution.

⛳️ Requirements

• Over 5 years of relevant experience as a practicing attorney.

• Experience in corporate or commercial practice at a leading law firm is required.

• In addition to law firm experience, in-house commercial counsel experience is preferred.

• Proficiency in negotiating and drafting a range of commercial agreements, primarily SaaS, but also including others as mentioned, and negotiating customer agreements in support of sales.

• Exceptional legal drafting abilities and a keen attention to detail; candidates must showcase a consistent history of delivering accurate, polished work products with minimal errors.

• Strong legal and business judgment.

• Demonstrated success in collaborating with cross-functional teams and advising executives.

• Solid project management experience with a proven history of delivering outstanding results on schedule.

• Dependability and professionalism during high-pressure times, including end-of-month closing cycles.

• Experience in the technology sector, with a preference for SaaS experience.

• Juris Doctorate (J.D.) and current membership in good standing with at least one U.S. state bar.

• General understanding of privacy laws and related information security requirements.

• Familiarity with contract lifecycle management systems is a plus.

• Proven ability to work with a high degree of independence, manage competing priorities without close supervision, and apply sound commercial judgment in ambiguous situations; a proactive, driven, and adaptable professional who thrives in a fast-paced environment.
