Commercial Counsel

This is a fully remote position, open to applicants in Colorado.

📋 Description

• Draft, review, negotiate, and oversee a diverse range of commercial agreements.

• Collaborate with Sales, Procurement, Supply Chain, Finance, IT, Engineering, and other business units to deliver practical legal advice.

• Identify legal, financial, operational, and commercial risks.

• Assist in the negotiation and management of commercial transactions.

• Maintain and continuously enhance contract templates, playbooks, standard terms and conditions, clause libraries, and contracting processes.

• Aid in the administration and optimization of the company's contract lifecycle management system.

• Elevate complex, high-risk, strategic, or non-standard legal matters to senior legal leadership.

• Monitor and provide counsel on legal and regulatory changes impacting commercial transactions.

⛳️ Requirements

• 1–2 years of experience with a nationally recognized law firm (Am Law 50 or equivalent).

• In-house legal experience supporting a technology, semiconductor, electronics, manufacturing, or industrial organization.

• Knowledge of semiconductor industry contracting, including equipment, materials, technology licensing, supply chain, procurement, and customer agreements.

• Experience in supporting intellectual property licensing, technology transfer, software licensing, and commercialization issues.

• Understanding of export controls, trade compliance, and international commercial contracting.

• Proficiency in working with contract lifecycle management platforms, including Ironclad.

• Proven ability to implement process improvements and develop scalable contracting practices in a growing organization.
