This is a fully remote position, open to applicants in California.
• Create, review, and negotiate various commercial agreements, such as master supply agreements, sales contracts, purchase orders, statements of work, vendor/supplier agreements, equipment procurement contracts, software licenses, NDAs, and services agreements.
• Collaborate with sales, procurement, and business teams on contract terms, risk distribution, and negotiation strategies.
• Enhance and manage contract templates, playbooks, standard terms, and the contract management system, including Ironclad.
• Raise complex, high-risk, or non-standard contract issues to senior legal leadership for further evaluation.
• Keep abreast of legal and regulatory changes impacting commercial contracting within the semiconductor sector, including export controls, trade compliance, and IP licensing.
• Work in tandem with finance, compliance, and other internal parties on contract-related issues.
• Provide guidance on routine and moderately complex contracting matters while collaborating with senior legal team members on intricate, strategic, or non-standard transactions.
• Juris Doctor (J.D.) degree from an ABA-accredited law school.
• Active membership in good standing with at least one U.S. state bar.
• 3 to 5 years of pertinent legal experience in commercial transactions, contract drafting/negotiation, or technology transactions.
• Exceptional contract drafting abilities and meticulous attention to detail.
• Capability to handle a substantial volume of contracts concurrently.
• Strong judgment in balancing legal risks with business goals.
• Ability to operate independently and manage priorities effectively.
• Clear communication skills with non-legal stakeholders.
• Preferred: 1 to 2 years of experience at a large law firm (Am Law 50 or equivalent) in transactional or technology transactions practice.
• Preferred: Background in semiconductor, electronics, or advanced technology manufacturing.
• Preferred: Knowledge of semiconductor-specific contract structures, IP licensing, as well as equipment and materials supply and purchase agreements.
• Preferred: Familiarity with Ironclad.
• Minimum of 5 years of related experience with a Bachelor’s degree; or 3 years with a Master’s degree; or a PhD without experience; or equivalent professional experience.
