Commercial Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Prepare, assess, and negotiate enterprise SaaS, software, and technology contracts, which include partnership, reseller, supply, and licensing agreements.

• Efficiently oversee the commercial contracting process while safeguarding Collibra's legal interests.

• Collaborate with Sales, Sales Operations, Finance, Security, and Procurement to finalize transactions.

• Provide guidance on customer arrangement frameworks and sound legal and business judgments.

• Negotiate data processing agreements, security addenda, AI addenda, and privacy conditions with clients and vendors.

• Advise on data flows through Collibra's platform.

• Keep track of regulatory and legal changes and provide counsel on associated legal issues.

• Gain familiarity with Collibra's product, contracting procedures, and risk tolerance within the initial month.

• Successfully negotiate contracts with enterprise clients and partners by the end of three months.

• Contribute to process enhancements and larger legal initiatives by the sixth month.

⛳️ Requirements

• Over 5 years of pertinent legal experience, ideally as in-house commercial contracts counsel within the software sector.

• Juris Doctor (J.D.) and active admission to practice law in at least one U.S. state, in good standing.

• Practical experience with privacy in a SaaS environment, including the negotiation of Data Processing Agreements (DPAs).

• Familiarity with U.S. state privacy regulations, such as CCPA/CPRA, GDPR, and international data transfer mechanisms.

• Privacy certification like CIPP/US or CIPP/E is advantageous.

• Proven ability with AI tools such as Claude, Gemini, ChatGPT, Harvey, or Copilot.

• Experience negotiating with large enterprise or public sector clients.

• A bachelor's degree or equivalent relevant work experience is mandatory.
