This is a fully remote position, open to applicants in Alabama, +23 more states.
• Take charge of negotiating and executing commercial SaaS agreements, including MSAs, subscription agreements, DPAs, and NDAs, while facilitating swift business operations within established parameters.
• Uphold the company's stance on non-standard terms and oversee escalation processes, enhancing time-to-signature without elevating legal or commercial risks.
• Train and empower the Sales team to manage routine negotiations autonomously, alleviating legal bottlenecks as we scale.
• Direct the complete contracting process for all customer and vendor agreements, creating a scalable, AI-enhanced operation that minimizes manual tasks and accelerates deal cycles.
• Develop and oversee a Contract Lifecycle Management (CLM) system that includes templates, negotiation playbooks, approval workflows, and controls for delegation of authority.
• Utilize AI-driven legal tools for contract review, risk identification, and workflow automation, consistently seeking ways to lessen reliance on outside counsel over time.
• Manage vendor contracting and procurement legal processes, maintaining a contract repository that proactively tracks key terms and obligations.
• Oversee legal considerations regarding data privacy, including DPA negotiations and alignment with GDPR, CCPA, and related regulations, while staying updated on evolving requirements across Canto's operational and customer regions.
• Collaborate with Security, Product, and Executive Leadership on emerging legal and regulatory demands concerning AI, data governance, automated decision-making, IP, and responsible AI practices.
• Act as the primary legal advisor for commercial and operational issues, managing relationships with outside counsel across the US and Europe, focusing on cost efficiency and minimizing routine escalations.
• Address disputes and pre-litigation issues with a practical, resolution-focused mindset, and provide guidance on Canto's corporate compliance program.
• Partner with Security during privacy and security incidents, coordinating notification obligations, contractual commitments, regulatory requirements, and the preservation of privilege.
• Juris Doctor (JD) degree and an active bar membership in good standing.
• 5 to 8 years of legal experience in SaaS or technology, whether in-house or a combination of law firm and in-house experience.
• Extensive experience negotiating commercial SaaS agreements, such as MSAs, subscription agreements, DPAs, and NDAs.
• Proficient understanding of data privacy frameworks, including GDPR, CCPA, and associated regulations.
• Proven capability to work independently, create processes from the ground up, and establish legal infrastructure in a growing environment.
• Experience collaborating with Sales and go-to-market teams in a fast-paced commercial setting.
• Genuine interest in legal technology and AI-driven workflows, with a dedication to cultivating a modern, tech-enabled legal function.
• Hands-on experience with CLM systems and AI-supported legal review or drafting tools is preferred.
• Background in multi-entity, multi-jurisdiction SaaS companies with exposure to US and EU markets is preferred.
• Previous experience as an early or first in-house legal hire is preferred.
• Familiarity with vendor, partner, or channel contracting models is preferred.
