Commercial and Product Counsel

This is a fully remote position, open to applicants in California, +7 more states.

📋 Description

• Lead the negotiation, redlining, and finalization of all incoming vendor agreements with technology providers, service suppliers, data processors, and various third parties involving all types of agreements (SaaS, DPAs, NDAs, professional services, licensing).

• Take charge of all outgoing customer and sales contracts: manage the contracting process for Givebutter's revenue-generating agreements, including enterprise customer terms and service contracts.

• Establish the contracting framework: create and sustain templates, playbooks, fallback positions, and self-service tools that empower operations and sales teams to accelerate processes with fewer legal delays.

• Implement and enhance AI-driven legal workflows: leverage AI tools, agents, and automated workflows for contract review, clause analysis, and negotiation support; continually refine the legal ops tech stack to boost efficiency without compromising quality.

• Oversee the contract lifecycle: manage the process from initiation to execution, including monitoring obligations, renewal timelines, and critical terms throughout the portfolio.

• Assist with partnership agreements: provide support to the General Counsel on strategic partnerships, covering payment processor relationships, platform integrations, and channel partnerships.

• Draft and negotiate additional partnership documents: manage supporting agreements, amendments, and operational terms stemming from partnership arrangements.

• Act as a daily legal advisor to the product team: contribute to our Product Roadmap by proactively identifying expansion opportunities and advising the Product, Design & Engineering (PDE) teams on compliance-by-design for new features, payment processes, and data practices.

• Support the General Counsel and Security & Compliance Manager on compliance issues: assist with regulatory filings, licensing inquiries, privacy compliance, and consumer protection matters as they arise.

• Provide guidance on marketing and commercial claims: review marketing materials, competitive positioning, and customer-facing disclosures for legal risks.

• Assist the General Counsel with corporate tasks: support corporate governance, equity issues, and board-level projects as required.

• Facilitate claims and disputes: help manage claims, demand letters, and escalated customer disputes under the direction of the General Counsel.

• Contribute to the development of the legal team: aid in building processes, documentation, and institutional knowledge that will scale with Givebutter's growth.

⛳️ Requirements

• Juris Doctor (J.D.) degree and active bar membership in at least one U.S. jurisdiction.

• 5–7 years of legal experience, with significant time spent in-house at a growth-stage fintech firm (experience at a payments company or fundraising platform is highly preferred).

• Experience with high-volume commercial contracting execution.

• Skills in building contracting systems and infrastructure.

• Product counseling experience in a high-growth, technology-driven environment.

• Practical application of legal technology and AI tools.
