Chief Legal Officer

This is a fully remote position, open to applicants in Germany.

📋 Description

• Primarily accountable for the legal affairs and overarching legal strategy of InkuPlay on a global and group-wide scale.

• Provide guidance to the CEO and Executive Leadership Team regarding legal, regulatory, and reputational opportunities and potential risks.

• Assist with corporate governance, shareholder issues, executive responsibilities, powers of attorney, and internal decision-making processes.

• Keep track of pertinent legislative and regulatory changes and oversee their execution.

• Create a legal risk management framework with defined escalation paths, responsibilities, reporting, and regular reports on legal risks.

• Draft, review, negotiate, and develop essential contracts and strategic partnerships.

• Formulate contract standards, playbooks, approval workflows, and negotiation protocols.

• Provide support during complex and business-critical negotiations.

• Advise various departments such as Product, Engineering, Data, Security, and Operations on matters related to products, technology, data protection, information security, platforms, consumer protection, youth protection, advertising, and monetization.

• Create a legal framework for artificial intelligence.

• Coordinate Data Protection Impact Assessments, international data transfers, data processing agreements, and data subject rights.

• Safeguard and manage trademarks, technologies, content, designs, domains, and other intangible assets.

• Oversee trademark registrations, licensing models, compliance with open-source regulations, as well as the enforcement and defense of intellectual property rights.

• Advance the compliance management system and take charge of policies, investigations, reporting, and escalation procedures.

• Assist with financing rounds, corporate actions, restructurings, equity programs, joint ventures, and potential mergers and acquisitions.

• Organize legal due diligence, transaction documentation, signing, closing, and post-merger integration.

• Evaluate and manage litigation, complaints, cease-and-desist notices, regulatory proceedings, and other disputes.

• Select and oversee external law firms and specialist advisors while managing the legal budget and the make-or-buy strategy.

• Develop the legal function's organization, roles, processes, and competency profile.

• Lead existing team members or progressively establish an internal team.

• Set KPIs and drive Legal Operations, knowledge management, contract automation, and Legal Tech initiatives.

⛳️ Requirements

• Fully qualified lawyer with superior state examinations or equivalent credentials in a relevant jurisdiction.

• Typically, a minimum of ten years of relevant professional experience, including several years in a senior in-house capacity.

• Proven experience in technology-driven, digital, gaming, media, entertainment, platform, or high-growth companies.

• Extensive knowledge of commercial and contract law.

• Strong expertise in various domains such as corporate law, data protection, IT law, consumer law, intellectual property, media law, platform regulation, AI regulation, compliance, employment law, or mergers and acquisitions.

• Demonstrated success in negotiating complex international contracts and strategic partnerships.

• Familiarity with cross-border business models and the capability to effectively coordinate local external counsel.

• Proficient communication skills in both German and English.

• Strong commercial acumen and the ability to make sound decisions amid uncertainty.

• Capability to clearly quantify or classify risks and articulate recommendations in a comprehensible manner.

• Organized, pragmatic work approach with exceptional execution skills and attention to detail.

• Confident in interactions with management, shareholders, authorities, business partners, and external advisors.

• Capacity for constructive dissent, independence, and high personal integrity.

• Ability to cultivate trusted relationships and communicate complex issues appropriately for diverse audiences.

• Leadership aptitude and a commitment to developing team members.

• Openness to working in a dynamic environment with partially newly established structures.

• Especially valued: experience with digital platforms, games, in-app purchases, subscriptions, advertising, virtual goods, youth protection, community governance, content moderation, user-generated content, AI governance, open-source software, data-driven products, fundraising rounds, international expansion, M&A, legal/compliance build-out, Legal Operations, and contract lifecycle management.
