This is a fully remote position, open to applicants in New York, +1 more state.
• Create and revise contract frameworks and templates for digital distribution agreements, licensing arrangements, and customized deals with clients and partners.
• Evaluate, edit, and assist in negotiating agreements, bringing any unique or high-risk concerns to the attention of the Director.
• Work in partnership with internal stakeholders to identify business requirements and integrate them into contractual provisions.
• Manage legal workflows and updates to the contract lifecycle using project management tools, mainly Monday.com.
• Monitor the status of contract projects and provide timely updates to the Director and relevant teams.
• Perform entity verification, KYC/KYB due diligence, sanctions/PEP checks, and identity verification across both U.S. and international registries.
• Aid Legal and Finance departments with deal due diligence and offer guidance to internal stakeholders regarding contracting parties, rights ownership, client history, account details, and associated data.
• Assist with legal and operational initiatives, perform research, maintain internal documentation, and contribute to compliance projects.
• Ensure uniformity in legal terminology and document formatting.
• Keep well-organized records of templates, revisions, and finalized documents.
• Investigate and analyze new laws and industry practices related to operations, contracting, copyright, misconduct, and other legal issues.
• Inform internal stakeholders about legal policies, processes, and procedures.
• Provide assistance on escalated legal issues.
• Regularly update the Director on the status of contracting activities.
• Undertake additional projects as assigned by the Business and Legal Affairs Team.
• A bachelor's degree is required.
• A J.D., paralegal certification, or equivalent legal training is highly preferred.
• A J.D. accompanied by substantial business and legal affairs internships or work experience, OR three to five years of post-graduate experience in B&LA, contracts, or a transactional setting.
• Proficient in contract/project management tools such as Monday.com, Dropbox, Google Workspace, and HubSpot.
• Excellent written and verbal communication abilities.
• Highly organized with outstanding attention to detail.
• Strong time management skills with the capability to juggle multiple tasks and meet tight deadlines.
• Self-driven with a strong sense of initiative.
• Ability to manage one’s workload, learn rapidly, accept feedback, and adapt.
• Capability to fully engage and integrate with the team while working remotely.
• High ethical standards and the ability to maintain confidentiality.
• Candidates must reside in New York or Pennsylvania.
• Familiarity with music licensing, intellectual property, and digital distribution.
• A keen interest in contracting, IP rights and licensing, copyright law, AI issues, and related regulations.
• A minimum of one year of experience drafting distribution agreements and other music licensing contracts would distinguish the candidate.
• Experience working collaboratively with Deal, Sales, and Finance Teams would be an advantage for the candidate.
