This is a fully remote position, open to applicants anywhere in the world.
• Manages, sustains, and enhances the organization's adherence to relevant laws and regulations, particularly those specific to 501(c)(3) charitable entities, while ensuring effective, efficient, and well-aligned policies and systems related to nonprofit and corporate legal compliance matters.
• Directs Tides Legal Compliance and the Internal Assessment Program, including the establishment of annual internal audit priorities, as well as planning and execution.
• Supervises federal and state corporate registration and reporting responsibilities.
• Leads the creation and upkeep of legal policies and practices to manage significant risks associated with operations, business activities, and programs.
• Manages Tides' insurance program, including renewals, claims coverage, and disputes, while exploring alternative and supplementary risk mitigation strategies.
• Oversees the creation of training and capacity-building resources aimed at enhancing compliance literacy throughout the organization and its fiscally sponsored initiatives.
• Promotes the use of technology solutions, including automation tools, to improve the efficiency and effectiveness of the Legal Compliance Program.
• Establishes short-term objectives and a long-term compliance strategy to ensure the effectiveness of the organization's program in identifying and mitigating compliance risks.
• Acts as an expert and internal resource on nonprofit 501(c)(3) and corporate legal and regulatory obligations as a vital member of the Legal and Regulatory Compliance team.
• Addresses federal, state, and local inquiries and investigations.
• Juris Doctor degree and an active California law license or registration as in-house counsel is required.
• A practicing attorney with a minimum of 8 years of experience advising nonprofit tax-exempt organizations, including at least 3 years in a supervisory or leadership role involving compliance teams and full-time staff.
• Experienced in advising nonprofits on federal and state tax laws and regulations, including issues related to charitability, inurement, private benefit, political advocacy, and the limits and reporting requirements for lobbying activities.
• Skilled in advising clients on legally intricate and high-profile activities, such as compliance with federal and state laws concerning voter registration and ballot measures.
• Proficient in general corporate legal compliance matters, including conflicts of interest, OFAC regulations, anti-bribery laws, and obligations under the Foreign Agent Registration Act.
• Practical experience in designing, maintaining, and/or managing compliance programs and systems for nonprofit organizations.
• Preference for candidates with experience in fiscal sponsorship, grantmaking, and multi-entity nonprofit structures.
