Associate General Counsel, Corporate

This is a fully remote position, open to applicants in United States.

📋 Description

• Board Administration: Oversee the preparation for board and committee meetings, organize materials, maintain corporate records and minutes, and provide guidance on governance practices.

• Entity Management: Supervise the corporate structure and subsidiary governance while ensuring adherence to regulatory obligations across all jurisdictions.

• M&A Support: Direct legal due diligence, negotiate transaction documents, and manage post-acquisition integration from a legal standpoint.

• Corporate Transactions: Negotiate and draft intricate commercial agreements, financing documents, and other strategic transactions.

• Public Company Readiness: Lead Webflow’s initiatives for public company readiness, including coordinating due diligence and collaborating with external counsel.

• Employment and Litigation: Manage our internal employment function and oversee litigation efforts as they arise.

• Securities and SOX Compliance: Create and implement a securities law compliance program and insider trading policies. Develop and execute a SOX compliance framework, when applicable, including internal controls, disclosure procedures, and certification processes.

• Leadership: Establish and lead Webflow’s corporate legal team, oversee relationships with outside counsel, and enhance and create scalable corporate legal processes and operations.

⛳️ Requirements

• JD degree with an active bar membership.

• Over 10 years of relevant experience, including tenure at a nationally-recognized law firm (required), and ideally a blend of late-stage private and public company experience.

• Knowledge of securities laws, corporate governance, M&A transactions, SEC reporting requirements, and SOX compliance.

• Proven experience in driving public company readiness or managing public company compliance.
