Associate General Counsel, Corporate

This is a fully remote position, open to applicants in United States.

📋 Description

• Oversee the corporate legal function during a time of significant growth and change

• Supervise board administration along with entity and subsidiary governance

• Provide legal guidance for the administration of equity plans

• Lead the legal due diligence and negotiations associated with M&A activities

• Manage intricate commercial and financing transactions

• Propel initiatives for public company readiness, encompassing securities law and SOX compliance

• Oversee employment issues and litigation matters

• Build and manage the corporate legal team

• Enhance scalable legal processes

• Report directly to the Chief Legal Officer

• Balance legal risks with business goals

⛳️ Requirements

• Juris Doctor (JD) with an active bar membership

• Minimum of 10 years of pertinent experience

• Background at a nationally esteemed law firm

• Preferably, a blend of experience with late-stage private and public companies

• Proficiency in securities law, corporate governance, M&A, SEC reporting, and SOX

• Experience in preparing for or managing compliance for public companies

• Strong leadership, communication, and project management abilities

• Capability to balance legal risks with business objectives

• Experience in technology or SaaS is preferred
