Associate General Counsel, Commercial

This is a fully remote position, open to applicants in United States.

📋 Description

• Act as the chief legal advisor for intricate commercial transactions, including enterprise SaaS, API and developer platform agreements, strategic partnerships, technology licensing, channel partnerships, procurement, and other high-stakes matters.

• Structure and negotiate commercial agreements pertaining to API access, developer platforms, AI infrastructure, model licensing, usage-based pricing, and innovative AI products.

• Lead negotiations for key customers and partners while balancing legal risks with business goals.

• Collaborate with executive leadership to boost revenue generation and facilitate commercial growth.

• Provide guidance on international expansion, go-to-market strategies, pricing models, and new business initiatives.

• Advise leadership and cross-functional teams on AI, enterprise software, data, intellectual property, digital media, advertising technology, privacy, and evolving regulations.

• Support strategic partnerships, product launches, and market expansion initiatives.

• Proactively identify legal risks and opportunities.

• Design and enhance scalable commercial contracting processes.

• Create negotiation playbooks, approval frameworks, contract templates, fallback positions, and internal guidelines.

• Optimize contract lifecycle management, reporting, and legal workflows in collaboration with Operations and Enterprise Systems.

• Assist in establishing the long-term structure, processes, and best practices for the commercial legal organization.

• Mentor junior legal professionals and contribute to building the legal team.

• Work together with Sales, Partnerships, Product, Security, Privacy, Finance, and Operations teams.

• Translate complex legal matters into actionable business recommendations.

• Support special projects and strategic initiatives within a rapidly growing environment.

• Stay updated on legal and regulatory changes impacting AI, enterprise software, privacy, digital media, content generation, consumer protection, and related technologies.

⛳️ Requirements

• J.D. from an accredited law school.

• Active membership in at least one U.S. state bar.

• Over 10 years of legal experience, including substantial expertise in leading complex commercial transactions for high-growth technology firms.

• Preferred background includes a combination of top-tier law firm and in-house experience.

• Proven experience as a strategic legal advisor to executive leadership and senior business stakeholders.

• Extensive experience negotiating enterprise SaaS agreements, API and developer platform agreements, technology licensing, strategic partnerships, and other complex commercial transactions.

• Strongly preferred experience in supporting AI, cloud infrastructure, APIs, developer platforms, or highly technical software products.

• Profound understanding of legal issues related to AI, software, data, intellectual property, privacy, and emerging technologies.

• Exceptional business judgment with the ability to provide practical, risk-balanced advice in uncertain situations.

• Demonstrated ability to build scalable legal processes and enhance operational efficiency.

• Experience mentoring attorneys or legal professionals and assisting in the development of high-performing legal teams.

• Excellent drafting, negotiation, communication, and stakeholder management skills.

• Highly collaborative, low-ego, execution-oriented, and comfortable working independently in a fast-paced, high-growth environment.

• Willingness to travel quarterly, including two annual trips to San Francisco and two annual trips to Kazakhstan.

• Ability to work during agreed-upon hours and maintain sufficient overlap with the relevant team's time zone.
