Associate General Counsel

This is a fully remote position, open to applicants in United Kingdom.

📋 Description

• Collaborate closely with the General Counsel to address the legal and commercial requirements of Sphera's global operations.

• Cultivate a thorough understanding of Sphera's business, offerings, clientele, and strategic objectives to deliver practical, commercially-oriented legal guidance.

• Provide ongoing legal advice to leaders across diverse corporate functions on a wide array of legal issues.

• Draft, review, negotiate, and provide counsel on intricate commercial agreements spanning multiple jurisdictions.

• Offer legal advice related to data privacy, intellectual property, employment law, compliance, corporate governance, dispute resolution, and other commercial concerns.

• Oversee complex legal matters and disputes, collaborating with external counsel as needed.

• Manage and coordinate external legal counsel across Europe and other international regions.

• Assist with strategic corporate initiatives, including mergers, acquisitions, and corporate governance matters.

⛳️ Requirements

• Must be a qualified solicitor in England & Wales (or another common law jurisdiction with the capability to practice in the UK) and in good standing.

• Possess approximately 8–12+ years of post-qualification legal experience.

• Extensive experience in negotiating and advising on intricate commercial transactions, ideally within the SaaS, enterprise software, or technology industries.

• Experience in supporting international business operations and providing counsel on cross-border commercial issues in various jurisdictions.

• Strong knowledge of commercial contracts, technology transactions, intellectual property, data privacy, cybersecurity, and corporate governance.

• Proven experience managing outside counsel and coordinating legal support across multiple jurisdictions.

• Demonstrated capability to independently handle multiple complex legal issues while effectively balancing competing priorities and business goals.
