This is a fully remote position, open to applicants in United States.
• Prepare, evaluate, and negotiate intricate commercial agreements, taking charge of high-stakes matters from their inception to resolution.
• Provide counsel to business units and senior management regarding risks, practical solutions, and strategic initiatives.
• Offer guidance on both domestic and international operations, sourcing, supply chain management, logistics, freight and shipping, manufacturing, distribution, cross-border trade, import/export compliance, and government relations.
• Advise on strategic business transactions, which include investments, financings, joint ventures, acquisitions, and corporate restructurings.
• Manage legal due diligence and collaborate with external counsel as necessary.
• Spearhead cross-functional projects such as entering new markets, launching products, and expanding operations.
• Oversee disputes, investigations, claims, and pre-litigation matters.
• Manage relationships with outside counsel, overseeing legal budgets and resources.
• Counsel on employment and labor issues, including employee relations, workplace policies, wage and hour compliance, leave management, disputes, litigation, and agency proceedings.
• Guide on commercial credit operations, customer credit policies, risk assessment, secured transactions, collections, and recovery matters.
• Supervise corporate governance, entity formation and maintenance, subsidiary management, and organizational structuring.
• Provide advice on intellectual property, branding, marketing, advertising, product commercialization, data privacy, cybersecurity, artificial intelligence, and technology-related issues.
• Advise on product safety and regulatory compliance while monitoring legal developments.
• Create and maintain contract templates, negotiation playbooks, legal policies, and operational best practices.
• Lead process improvement initiatives and conduct training to enhance scalability, efficiency, and risk management.
• Adhere to company policies and standards while performing other assigned responsibilities.
• Juris Doctor (JD) from an accredited law school and active bar membership in good standing.
• 7–9 years of experience in corporate law.
• Licensed Attorney (varies by state).
• Strong expertise in drafting, reviewing, and negotiating complex commercial agreements, including licensing, manufacturing, distribution, and technology arrangements.
• Proven experience managing disputes, investigations, and relationships with outside counsel.
• Knowledge of employment and labor law, including employee relations, workplace investigations, and employment-related disputes.
• Experience in corporate governance and entity management.
• Familiarity with international operations, cross-border transactions, trade compliance, customs, import/export regulations, supply chain, government relations, or cross-border regulatory matters is a significant advantage.
• Ability to simplify complex legal issues into actionable business advice.
• Comfortable working autonomously, exercising significant judgment on high-value matters, and managing multiple priorities in a dynamic environment.
• Excellent communication skills and the ability to build trust with business partners across all organizational levels.
• Experience in the apparel, retail, wholesale, or consumer products industry is preferred but not mandatory.
• Familiarity with intellectual property, data privacy, technology transactions, product regulatory matters, or corporate transactions is a plus.
• Annual discretionary bonus up to 20% of base salary.
