Associate General Counsel

This is a fully remote position, open to applicants in New York.

📋 Description

• Draft, negotiate, and finalize enterprise SaaS/AI agreements, along with associated addenda and schedules (such as DPAs).

• Create and sustain contract templates and a negotiation playbook that enables the sales team to expedite deal closures.

• Efficiently manage inbound redlines and set up contract review service level agreements (SLAs).

• Oversee daily privacy compliance and data governance strategies.

• Handle vendor and partner agreements, including software licenses and contracts for professional services.

• Act as the integrated legal partner for Sales & Marketing, Product, Engineering, and Finance teams.

• Recognize legal risks early in the product development process and provide mitigation advice without hindering progress.

• Develop and enhance the legal operations infrastructure, including tools for contract management and intake procedures.

• Assist in determining when to engage outside counsel and manage those relationships.

⛳️ Requirements

• Juris Doctor (JD) degree from an accredited law school, along with an active state bar membership in good standing.

• 4-8 years of legal experience, including a minimum of 2-3 years at an Am Law 100 law firm focused on transactional/commercial law.

• Extensive knowledge in drafting and negotiating commercial contracts—you have managed complex agreements and understand the inherent risks.

• Proven capability to work independently, prioritize conflicting demands, and make decisions without excessive guidance.

• Strong communicator—able to articulate ideas clearly, both in writing and verbally.

• In-house experience with a rapidly growing tech company (Series A-C).

• Understanding of SaaS/AI business models, cloud infrastructure agreements, and API/platform contracts.

• Familiarity with federal, state, and international data privacy regulations and standard DPA negotiations.

• Experience in establishing in-house data privacy compliance systems.

• Exposure to equity compensation, venture financing documentation, or M&A, even in a supporting capacity.
