
Associate General Counsel

This is a fully remote position, open to applicants in Alabama, +2 more states.
β’ Act as the main legal contact for Finance, HR, Information Security, Operations, Product, Procurement, Sales, Customer Success, and leadership regarding ongoing legal inquiries.
β’ Offer practical legal analysis and suggestions on business, operational, customer-facing, and internal legal issues; prepare legal opinions, notices, letters, internal guidance, and related documentation.
β’ Analyze and interpret contractual responsibilities, customer commitments, vendor obligations, internal policies, and legal risk matters.
β’ Assist with regular claims, disputes, demand letters, customer escalations, and pre-litigation matters; pinpoint issues that need to be escalated to the SVP or external counsel.
β’ Evaluate and provide counsel on customer agreements, SaaS agreements, order forms, SOWs, amendments, renewals, vendor agreements, and government contracting documents.
β’ Support incident response documentation, breach notification assessments, preservation notices, and coordination with external counsel.
β’ Create practical templates and review standards for procurement and vendor management.
β’ Contribute to the development and upkeep of policies, procedures, templates, and controls across privacy, records retention, anti-corruption, conflicts of interest, procurement, and contract management.
β’ Draft and review customer letters, legal notices, demand responses, cure notices, reservation of rights letters, and other legal communications.
β’ Collaborate with external counsel on employment matters, litigation, privacy incidents, and more.
β’ J.D. from an accredited law school; active bar membership in at least one U.S. jurisdiction.
β’ Over 5 years of relevant legal experience, including significant in-house experience in a technology, SaaS, GovTech, public-sector, PE-backed, or high-growth setting.
β’ Strong generalist legal judgment across commercial contracts, privacy, employment, vendor agreements, disputes, compliance, and operational legal support.
β’ Proven experience in reviewing and negotiating commercial agreements, SaaS agreements, professional services agreements, vendor contracts, and government customer terms.
β’ Familiarity with state and local government customers, public-sector procurement, RFP processes, cooperative purchasing vehicles, or government contracting requirements.
β’ Experience in supporting HR on employment-related issues, investigations, policies, and employee documentation.
β’ Proficiency with Ironclad, Salesforce, or other CLM/CRM-enabled legal workflows.
