Associate Director – M&A Execution

This is a fully remote position, open to applicants in Saudi Arabia.

📋 Description

• Take charge of deal processes: Oversee transaction execution from the initial qualification of targets to the closing phase, collaborating closely with the VP of M&A and receiving guidance from the EVP of Finance; assume personal responsibility for deal timelines, quality of output, and final results.

• Early qualification of acquisition targets — directly engage with founders and senior executives, review preliminary materials, and develop an informed perspective on strategic alignment and deal likelihood before allocating additional resources.

• Conduct in-depth financial analysis of target company statements and supporting data, identifying trends, evaluating business quality, and constructing a comprehensive picture of sustainable earnings and associated risks with accuracy and intellectual rigor.

• Create financial models in Excel to facilitate valuation analysis; ensure that models are precise, well-documented, and robust enough to withstand due diligence scrutiny.

• Prepare offer letters, term sheets, and deal documentation; lead or take part in the negotiation of deal terms, utilizing a thorough understanding of CSI / Andromeda's acquisition criteria.

• Manage the due diligence process through to closing — overseeing multiple internal and external workstreams (legal, financial, operational, IT) concurrently while keeping all parties synchronized on timelines and deliverables.

• Foster high-quality, ongoing relationships with decision-makers at acquisition targets throughout the deal lifecycle — from initial contact to post-close engagement.

• Represent Andromeda professionally in all external interactions; exhibit sound judgment and professionalism when dealing with business owners, investment bankers, legal counsel, and accountants on behalf of the Boson team.

• Provide financial and accounting oversight for MENA-region Business Units following acquisition, ensuring continuity and precision in reporting at both unit and group levels.

• Facilitate the financial integration of newly acquired businesses — collaborating with BU finance leads and the Boson portfolio team to establish reporting schedules, controls, and processes aligned with Andromeda standards.

• Offer daily guidance and oversight to junior M&A Execution team members as the Boson team expands; share knowledge, ease onboarding for new hires, and set high standards for work quality through personal example.

• Collaborate with the broader Andromeda Home Office and IMO functions as necessary, sharing insights on regional market dynamics and target attributes that enhance portfolio-level decision-making.


⛳️ Requirements

• A Bachelor’s degree in Finance, Accounting, Business, or a related discipline is required.

• CPA / CA designation, CFA, and/or MBA are significant assets and will be viewed favorably.

• 10–15+ years of progressive experience at a leading accounting firm, capital advisory firm, investment bank, and/or private equity firm.

• A minimum of 3–5 years of mid-market deal experience executing transactions from start to finish is essential; candidates without direct deal execution experience will not be considered.

• At least 5 years in a financial controller and/or financial management role is essential.

• Proven experience working with small, owner-managed businesses as either a client or acquisition target.

• Buy-side experience is advantageous but not mandatory.

• Advanced Excel skills and exceptional financial modeling capabilities; able to independently build, stress-test, and articulate a detailed valuation model.

• Strong written and verbal communication abilities, with the capacity to produce clear, concise reports and confidently present analyses to senior executives, business owners, and professional advisors.

• Impeccable attention to detail and the capability to manage multiple transactions and priorities concurrently without sacrificing accuracy.

• Confidence and professionalism during frequent interactions with Senior Executives, Business Owners, Investment Bankers, Lawyers, Accountants, and other critical stakeholders.

• Willingness to work variable hours and travel within the MENA / GCC region and to Canada as necessary to support active transactions.

• Must reside in the MENA region (preferably UAE, KSA, Turkey, Egypt, or Jordan) and possess all required residence and work authorizations for the country of residence; the company does not provide work authorization.
